CFIUS Annual Report

Recently, the Committee on Foreign Investment in the United States (CFIUS) published an annual report, summarizing its work in 2021.

CFIUS is an inter-agency body responsible for conducting national security reviews of foreign investments into the U.S. In 2021, the agency reviewed a record number of notices and declarations, totaling 272 and 164, respectively. The total number of filings increased by almost 40% from 2020, likely attributable to increased cross-border M&A activity in 2021. Of the filings made, CFIUS cleared over 73% of declarations, an increase of 9% from 2020. The number of notices filed by Chinese entities topped the list at 44, followed by Canada and Japan.
