CSRC tightens rules on business transactions of group finance companies.

Issued: May 30, 2022

Main contents: Where an enterprise group finance company is to conduct business transactions with the affiliated listed company, it shall execute a financial services agreement and review the board or shareholders' general meeting resolutions and other such documents publicly disclosed by the listed company.

The financial services agreement shall specify the specific details of the financial services to be provided by the finance company to the listed company, including but not limited to the term of the agreement, the types of transactions, the anticipated amounts of the various transactions, transaction pricing, risk assessment and control measures, and be publicly disclosed.
