China bans listing of tutorial institutions

Issued: July 24, 2021

Main contents: No new institutions providing tutelage in academic courses outside school and targeted at students at the compulsory education stage shall be approved in any region and all such existing institutions shall be registered as non-profit institutions. Online institutions that provide tutelage in academic courses and were formerly subject to record filing shall henceforth be subject to the examination and approval system.

No institution providing tutelage in academic courses may seek financing by listing and capitalization operation thereby is strictly forbidden. Listed companies may not finance or invest in institutions that provide tutelage in academic courses through the stock market and may not purchase assets of such institutions by means such as the offering of shares or payment of cash. Foreign investors may not control or acquire an equity interest in institutions that provide tutelage in academic courses by means such as mergers, acquisitions, entrusted operations, franchising or use of a variable interest entity. (Article 13).
