各有关单位:
为推进中国(上海)自由贸易试验区(以下简称“自贸试验区”)建设,根据国务院办公厅《关于加强进口的若干意见》(国办发〔2014〕49号)、商务部《关于中国上海自由贸易试验区开展平行进口汽车试点有关问题的复函》(商建函〔2014〕869号)和《工商总局关于停止实施汽车总经销商和汽车品牌授权经销商备案工作的公告》(工商市字〔2014〕145号),本市在自贸试验区开展平行进口汽车试点。现就试点的有关事项通知如下:
一、在自贸试验区开展平行进口汽车试点业务是指注册在自贸试验区内的汽车经销商,经商务部进口许可,从事进口国外汽车的经营活动。
二、按照“稳步推进、规范有序、风险可控”的原则,本市商务、自贸试验区管委会、海关、检验检疫、工商等相关部门根据各自职责开展工作,确保试点稳步开展。
上海市商务委员会会同自贸试验区管委会等部门协调推进平行进口汽车试点工作,对试点企业进行认定。自贸试验区管委会推进平行进口汽车产品质量追溯体系和平行进口汽车经销商信息化管理系统建设等工作。推动平行进口汽车相关公共服务领域内的平台经济建设,平台将整合政府职能部门相关配套功能,有效集聚汽车维修、服务、零部件供应等社会化服务。设在自贸试验区内的第三方公共服务平台的服务功能与模式须向自贸试验区管委会备案。上海海关负责做好平行进口汽车的通关监管、税收征管等相关工作。上海出入境检验检疫局负责做好对平行进口汽车产品符合国家有关质量标准、技术规范的强制性要求和强制性产品认证准入要求的质量安全监管工作,并联合相关部门做好平行进口汽车有关三包、召回、缺陷调查等后续监管工作。上海市工商行政管理局负责对汽车经营行为的监管,维护消费者的合法权益和公平竞争的市场秩序。
三、符合以下条件的企业可申请开展平行进口汽车试点业务:
(1)从事汽车销售业务5年以上,具有最近3年连续盈利的经营业绩,上一财务年度汽车销售额超过4亿人民币。
(2)具备与经营规模相适应的维修、服务、零部件供应网点与设施。对无法满足该条要求的企业,可依托自贸试验区区内第三方公共服务平台提供相应服务,达到要求后方可参与试点。
(3)信誉良好、具有采购渠道和汽车销售服务行业经验。
(4)在自贸试验区内注册具有汽车经销资质的全资子公司或控股公司,作为平行进口汽车试点的经销商。
四、申请试点的企业应向上海市商务委员会或自贸试验区管委会提交如下申请材料:
(1)开展平行进口汽车试点业务的申请书,应包括申请企业的概况、经营情况、业务分布、维修网络等;开展平行进口汽车试点业务的方案,主要包括车源、进口模式、售后服务、零部件供应,以及进口汽车产品关于国家质量标准、技术规范的强制性要求符合性情况、强制性产品认证情况等。
(2)承诺拟在自贸试验区注册汽车经销商,开展平行进口汽车试点业务的承诺书。
(3)试点企业法人营业执照复印件。
(4)会计师事务所出具的近3年企业财务报告。
(5)相应的业务经销网络、售后服务网络的工商注册等证明材料。
(6)其他相关材料。
五、申请试点的企业经认定后,按照国家机电产品进口许可管理有关规定和商务部相关要求,提供相应进口申请材料,向商务部申请汽车进口自动许可证。
六、试点企业及其在自贸试验区内注册的汽车经销商是平行进口汽车产品质量追溯的责任主体,应当依法履行产品召回、质量保障、售后服务、汽车三包、平均燃料消耗量核算等义务,不允许进口旧车和非法改装车,并负责采用原制造商许可的方案消除质量缺陷。经销商进口的汽车产品应符合国家有关质量标准、技术规范的强制性要求,并符合国家规定的强制性产品认证等准入要求。进口以上海口岸为主,销售区域以试点企业现有销售区域为主。
七、试点企业及其在自贸试验区内注册的汽车经销商开展相关业务及经营活动,应符合国家现有法律法规和本通知有关要求。相关监管部门如发现有不符合通知要求的行为,有法律法规规定的,由相关部门依法予以处罚。法律法规未作规定的,责令其限期改正或停止试点业务。
特此通知。
Relevant entities:
Pursuant to the General Office of the State Council, Several Opinions on Expanding Imports (Guo Ban Fa [2014] No.49), the Ministry of Commerce, Official Reply on Issues Relevant to the Launching of a Pilot Project for the Parallel Import of Motor Vehicles in the China (Shanghai) Pilot Free Trade Zone (Shang Jian Han [2014] No.869) and State Administration for Industry and Commerce, Announcement on Halting the Implementation of the Record Filing of General Motor Vehicle Distributors and Authorised Motor Vehicle Brand Distributors (Gong Shang Shi Zi [2014] No.145), Shanghai is launching a pilot project in the China (Shanghai) Pilot Free Trade Zone (the Pilot FTZ) for the parallel import of motor vehicles in order to promote the development of the Pilot FTZ. We hereby notify you of matters relevant to the pilot project as follows:
1. The phrase “engaging in business relating to the pilot project for the parallel import of motor vehicles in the Pilot FTZ” means the business activity whereby motor vehicle distributors registered in the Pilot FTZ engage in the import of foreign motor vehicles, subject to securing an import permit from the Ministry of Commerce.
2. In line with the principles of “steady progress, compliance, orderliness and control of risks”, the Shanghai municipal commerce, pilot FTZ management committee, customs, inspection and quarantine, industry and commerce and other relevant departments shall carry out the work within their respective purviews so as to ensure the steady and stable unfolding of the pilot project.
The Shanghai Municipal Commission of Commerce shall, in concert with relevant departments such as the pilot FTZ management committee, coordinate the work of promoting the pilot project for the parallel import of motor vehicles and recognise pilot project enterprises. The pilot FTZ management committee shall boost work such as developing the backtracking system for the product quality of parallel imported motor vehicles and the information management system for parallel imported motor vehicle distributors, and promote the economic development of the platform in the public service sector relating to parallel imported motor vehicles, which platform will integrate the relevant ancillary functions of the government functional departments and effectively concentrate the publicly oriented services such as the repair and maintenance, services, and parts and components supply of motor vehicles. The service functions and models of third party public service platforms established in the Pilot FTZ must be filed with the pilot FTZ management committee for the record. Shanghai Customs is responsible for duly carrying out tasks such as the customs clearance and surveillance of parallel imported motor vehicles, and levy of customs duties and taxes. The Shanghai Entry-exit Inspection and Quarantine Bureau is responsible for duly carrying out the quality and safety oversight work involving determining whether parallel imported motor vehicle products comply with the mandatory requirements of relevant state quality standards and technical specifications as well as mandatory product certification and access requirements, and, together with relevant departments, duly carrying out follow-up oversight work relating to parallel imported motor vehicles, such as the “three guarantees”, recalls and investigation of defects, in conjunction with relevant departments. The Shanghai Municipal Administration for Industry and Commerce is responsible for overseeing motor vehicle dealing, and safeguarding the lawful rights and interests of consumers and a market order characterised by fair competition.
3. An enterprise that satisfies the following conditions may apply to engage in business relating to the pilot project for the parallel import of motor vehicles:
(1) having engaged in the sale of motor vehicles for at least five years, having been continuously profitable during the most recent three years and having a motor vehicle sales turnover during the past financial year exceeding Rmb400 million;
(2) having maintenance and repair, service, and parts and components supply outlets and facilities appropriate for the size of its operations; an enterprise that is unable to satisfy the requirements of this item may rely on a third party public service platform in the Pilot FTZ to provide the relevant services, and may participate in the pilot project only after meeting the requirements;
(3) having a good reputation, procurement channels, and experience in the motor vehicle sales service industry; and
(4) having registered in the Pilot FTZ a wholly-owned subsidiary or controlled company with motor vehicle distribution qualifications to serve as distributor in the pilot project for the parallel import of motor vehicles.
4. An enterprise applying to participate in the pilot project shall submit the following application materials to the Shanghai Municipal Commission of Commerce or the pilot FTZ management committee:
(1) a written application to engage in business relating to the pilot project for the parallel import of motor vehicles, which shall cover an overview of the applying enterprise, its business performance, distribution of its business, and its repair and maintenance network; plan for engaging in business relating to the pilot project for the parallel import of motor vehicles, mainly including the source of the vehicles, its import pattern, after-sales services, parts and components supply, as well as details of the compliance of the imported motor vehicle products with the mandatory requirements of state quality standards and technical specifications and details of mandatory product certification;
(2) a written undertaking of its intent to register a motor vehicle distributor in the Pilot FTZ to engage in business relating to the pilot project for the parallel import of motor vehicles;
(3) a photocopy of the pilot project enterprise's business licence of an enterprise with legal personality;
(4) its financial reports for the most recent three years issued by an accounting firm;
(5) documentation evidencing business registration of its relevant distribution network and after-sales service network; and
(6) other relevant materials.
5. Once an enterprise applying for the pilot project is approved, it shall provide, in accordance with relevant state provisions for the administration of import licensing for mechanical and electrical products and relevant Ministry of Commerce requirements, the appropriate import application materials and apply to the Ministry of Commerce for an automatic motor vehicle import permit.
6. A pilot project enterprise and its motor vehicle distributor registered in the Pilot FTZ are the entities responsible for backtracking concerning the quality of their parallel imported motor vehicle products, shall perform in accordance with the law obligations such as product recall, quality assurance, after-sales service, “three guarantees” of motor vehicles and calculation of average fuel consumption, are not permitted to import used motor vehicles or illegally modified motor vehicles and shall be responsible for using the plan permitted by the original manufacturer to eliminate quality defects. The motor vehicle products imported by the motor vehicle distributor shall comply with the mandatory requirements of relevant state quality standards and technical specifications and state specified access requirements, such a mandatory product certification. Import shall be accomplished mainly through the Shanghai port, and the sales territory shall mainly be the pilot project enterprise's existing sales territory.
7. A pilot project enterprise and its motor vehicle distributor registered in the Pilot FTZ shall comply with relevant requirements of current state laws and regulations and this Circular in carrying out their relevant business and operational activities. If a relevant regulator discovers an act not in compliance with the requirements of the Circular, and there is a law or set of regulations specifying the same, the relevant department shall impose penalties in accordance with the law. If laws and regulations are silent thereon, the author of such act shall be ordered to rectify the matter within a specified period of time or halt the pilot project business.
