Part One: General provisions

第一章 总 则

Article 1: These Regulations have been formulated pursuant to laws such as the PRC Labour Law, the PRC Employment Contract Law, the PRC Labour Union Law, the PRC Law on the Mediation and Arbitration of Employment Disputes and the PRC People's Mediation Law and in light of the realities in Guangdong, in order to regulate collective bargaining, improve the collective contract system, safeguard the lawful rights and interests of employees and enterprises and establish harmonious and stable employment relationships.

第一条 为了规范集体协商行为,完善集体合同制度,维护职工和企业的合法权益,建立和谐稳定的劳动关系,根据《中华人民共和国劳动法》、《中华人民共和国劳动合同法》、《中华人民共和国工会法》、《中华人民共和国劳动争议调解仲裁法》和《中华人民共和国人民调解法》等法律,结合本省实际,制定本条例。

Article 2: These Regulations shall govern the conduct of collective bargaining and the execution of collective contracts by enterprises and their employees on the administrative territory of Guangdong Province.

第二条 本省行政区域内的企业与职工方开展集体协商,签订集体合同,适用本条例。

Article 3: Enterprises shall establish and improve collective bargaining and collective contract systems in accordance with the law.

第三条 企业依法建立健全集体协商和集体合同制度。

For the purposes of these Regulations, the term “collective bargaining” means the act whereby an enterprise and its employees carry out negotiations on an equal basis on matters such as labour remuneration, working hours, rest and leave, work safety and hygiene, and insurance and benefits.

本条例所称集体协商,是指职工方与企业就劳动报酬、工作时间、休息休假、劳动安全卫生、保险福利等事项进行平等协商的行为。

For the purposes of these Regulations, the term “collective contract” means a written agreement executed by an enterprise with its employees subsequent to their reaching a consensus through collective bargaining.

本条例所称集体合同,是指职工方与企业经集体协商达成一致意见签订的书面协议。

Article 4: In conducting collective bargaining and entering into collective contracts, the principles of lawfulness, fairness, equality, free will, negotiated consensus and good faith shall be complied with, and consideration shall be given to the lawful rights and interests of both parties.

第四条 开展集体协商、订立集体合同,应当遵循合法、公平、平等自愿、协商一致、诚实信用的原则,兼顾双方合法权益。

Article 5: People's governments at each level shall strengthen their employment relationship harmonisation work, erect and develop harmonious and stable employment relationships and consider and resolve, in a timely manner, major issues that arise in the course of collective bargaining and collective contract work.

第五条 各级人民政府应当加强劳动关系协调工作,构建和发展和谐稳定的劳动关系,及时研究解决集体协商和集体合同工作中的重大问题。

The administrative departments for human resources and social security of people's governments at the county level and above, together with unions and enterprise representative organisations, shall establish tripartite employment relationship harmonisation mechanisms.

县级以上人民政府人力资源社会保障行政部门会同工会和企业方面代表组织建立协调劳动关系三方机制。

The administrative department for human resources and social security at each level shall guide, coordinate and monitor the implementation of the collective bargaining and collective contract systems in accordance with the law.

各级人力资源社会保障行政部门依法对集体协商和集体合同制度的实施进行指导、协调和监督。

Article 6: Local labour union federations shall, in accordance with the law, arrange for, guide and coordinate enterprise labour unions in conducting collective bargaining and executing and performing collective contracts.

第六条 地方总工会依法组织、指导、协调企业工会开展集体协商和签订、履行集体合同。

An enterprise labour union shall, in accordance with the law, represent employees in conducting collective bargaining and executing collective contracts with the enterprise and safeguard the lawful rights and interests of the employees.

企业工会依法代表职工与企业进行集体协商,签订集体合同,维护职工合法权益。

Article 7: Enterprise representative organisations, such as enterprise federations, federations of industry and commerce, associations, and chambers of commerce, shall assist enterprises in establishing and improving the collective bargaining and collective contract systems.

第七条 企业联合会、工商业联合会、协会、商会等企业方面代表组织协助企业建立健全集体协商和集体合同制度。

Part Two: Collective bargaining

第二章 集体协商

Section One: Subject of collective bargaining

第一节 集体协商内容

Article 8: Employees may conduct collective bargaining with their enterprises on the following matters:

第八条 职工方与企业可以就下列内容进行集体协商:

(1) the determination, increase and reduction of labour remuneration;

(一)劳动报酬的确定、增减;

(2) working hours, mainly including the working hour system, the method for extending working hours, the working hours for special jobs and the standards for labour input;

(二)工作时间,主要包括工时制度、延长工作时间办法、特殊工种的工作时间、劳动定额标准;

(3) rest and leave, mainly including daily rest periods, weekly rest day arrangements, the measures for annual leave, as well as the rest, annual leave and other leave for employees who are not subject to the regular working hours system;

(三)休息休假,主要包括日休息时间、周休息日安排、年休假办法、不能实行标准工时职工的休息休假和其他假期;

(4) work safety and hygiene;

(四)劳动安全与卫生;

(5) insurance and benefits;

(五)保险和福利;

(6) special protection measures for female employees and for minor workers who are at least 16 years of age and less than 18 years of age;

(六)女职工、年满十六周岁不满十八周岁的未成年工的特殊保护措施;

(7) liability for breach of the collective contract; and

(七)集体合同的违约责任;

(8) other matters the parties deem necessary to negotiate on.

(八)双方认为应当协商的其他内容。

Article 9: Collective wage bargaining shall comply with the principle of distribution of wages according to work, and the paying of the same remuneration for the same type of work shall be implemented. Employees may negotiate on the following matters with their enterprises:

第九条 工资集体协商应当遵循工资分配按劳分配原则,实行同工同酬。职工方与企业可以就下列内容进行协商:

(1) wage standards, form of distribution of wages and other wage distribution matters as well as the wage payment method;

(一)工资标准、工资分配形式和其他工资分配事项及工资支付办法;

(2) the average annual wage level of the employees, and the adjustment range and adjustment method therefor;

(二)职工年度平均工资水平及其调整幅度和调整办法;

(3) wages and benefits during probation and during sick leave and leave of absence; and

(三)试用期、病事假期间的工资待遇;

(4) other wage-related matters that the parties deem necessary to negotiate on.

(四)双方认为应当协商的其他有关工资事项。

Article 10: The following factors shall be comprehensively taken into consideration in collective wage bargaining:

第十条 工资集体协商应当综合参考下列因素:

(1) the labour productivity and economic efficiency of the enterprise;

(一)本企业劳动生产率和经济效益;

(2) the enterprise's total payroll and employee average wage level during the previous year;

(二)本企业上年度职工工资总额和职工平均工资水平;

(3) the enterprise wage guidelines and labour market guidance wage level published by the local administrative department for human resources and social security;

(三)当地人力资源社会保障行政部门发布的企业工资指导线、劳动力市场工资指导价位;

(4) the consumer price index of urban residents for the region published by the local people's government's statistics authority;

(四)当地人民政府统计机构发布的本地区城镇居民消费价格指数;

(5) the local minimum wage standard, and the average growth rate of employee wages in the region and industry published by relevant departments of the local people's government; and

(五)当地最低工资标准和当地人民政府有关部门发布的地区、行业的职工工资平均增长率;

(6) other information relevant to collective wage bargaining.

(六)其他与工资集体协商有关的情况。

Article 11: When conducting collective wage bargaining, employees and enterprises may request a wage increase, freeze or reduction.

第十一条 职工方与企业开展工资集体协商,可以提出工资增长、不增长或者负增长的协商要求。

In negotiations, employees may request a wage increase based on factors such as the increase in the enterprise's profit for the year, the guidance wage levels published by the local people's government, the rate of increase in employee wages in the region and the wage levels of the enterprise in its region and industry.

职工方可以根据企业年度利润增长情况、当地人民政府发布的工资指导线、本地区职工工资增长率、本企业在同地区同行业工资水平等因素,提出增长工资的协商要求。

In negotiations, an enterprise may request a wage freeze or reduction based on the actual circumstances of a serious deficit for the year and comprehensive consideration of factors such as commodity prices and government guidance wage levels.

企业可以根据年度严重亏损的实际情况并综合考虑物价、政府工资指导线等因素,提出工资不增长或者负增长的协商要求。

Section Two: Collective bargaining Representatives

第二节 集体协商代表

Article 12: When conducting collective bargaining, the employees and enterprise shall each select their respective collective bargaining representatives. The collective bargaining representatives (Representatives) shall have the authority to engage in collective bargaining in the interests of their respective sides.

第十二条 开展集体协商,职工方与企业应当选定本方集体协商代表。集体协商代表(以下称协商代表)有权代表本方利益进行集体协商。

Each party shall have three to nine Representatives, and designate one among them as its chief Representative. In the case of a relatively large enterprise with a relatively large number of employees, the number of Representatives may be suitably increased if agreed to by the parties. The parties may separately assign a suitable number of observer representatives.

职工方与企业每方协商代表三至九人,并各确定一名首席协商代表。企业规模较大和职工人数较多的,经职工方与企业双方同意,可以适当增加协商代表的人数。双方可另行选派适当数量的列席代表。

A Representative of the enterprise may not concurrently serve as a Representative of the employees and vice versa.

企业协商代表与职工方协商代表不得相互兼任。

Article 13: The Representatives of the enterprise shall be determined by the enterprise's legal representative, and the enterprise's legal representative or another manager of the enterprise appointed in writing by the enterprise's legal representative shall serve as the chief Representative.

第十三条 企业方协商代表由企业法定代表人确定,首席协商代表应当由企业法定代表人或者企业法定代表人书面委托的本企业其他管理人员担任。

The Representatives of the employees shall be selected by the labour union or through a democratic selection by the employees as organised by the labour union. The head of the labour union shall serve as chief Representative. If the enterprise does not have a labour union, the Representatives shall be selected through a democratic selection by the employees as organised by the local labour union federation of the place where the enterprise is located and require the affirmative consent of at least half of the employees; the chief Representative shall be selected by the Representatives participating in the collective bargaining.

职工方协商代表由工会选派或者工会组织职工民主推选产生。首席协商代表应当由工会负责人担任。企业未建立工会的,由企业所在地地方总工会组织职工民主推选协商代表,并经本企业半数以上职工同意;首席协商代表由参加协商的代表推选产生。

The replacement and substitution of Representatives shall be carried out by the procedure for the selection of Representatives.

协商代表的更换和替补,按照协商代表产生的程序进行。

Article 14: Representatives shall perform the following duties:

第十四条 协商代表履行以下职责:

(1) participating in collective bargaining related activities and putting forth their negotiation opinions;

(一)参加集体协商相关活动,提出协商意见;

(2) collecting, keeping abreast of and providing collective bargaining related information and documentation;

(二)收集、掌握和提供集体协商有关的情况和资料;

(3) listening to and collecting the opinions of the persons of their side, accepting inquiries on collective bargaining related issues from the persons of their side and, in a timely manner, reporting on the status of, or bringing in feedback from, the negotiations to the persons of their side;

(三)听取和收集本方人员意见,接受本方人员对集体协商有关问题的询问,向本方人员及时通报或者反馈协商情况;

(4) representing their side in the resolution of collective bargaining disputes; and

(四)代表本方参加集体协商争议的处理;

(5) other duties as specified in laws and regulations.

(五)法律、法规规定的其他职责。

Article 15: The enterprise shall assure the working conditions and working hours required by the Representatives to perform their negotiation duties, and provide to the Representatives of the employees true information and documentation relating to the collective bargaining. The Representatives shall maintain the confidentiality of the enterprise's trade secrets.

第十五条 企业应当保障协商代表履行协商职责所必要的工作条件和工作时间,向职工方协商代表提供与集体协商有关的真实情况与资料。协商代表应当保守企业商业秘密。

The Representatives of the employees shall provide to the enterprise the documentation relating to the collective bargaining in their possession.

职工方协商代表应当向企业提供其掌握的与集体协商有关的资料。

Article 16: The lawful rights and interests of the Representatives shall be subject to legal protection. Their performance of their negotiation duties shall be deemed provision of normal work, and the enterprise may not adjust their positions, or reduce their wages or various benefits without legitimate reason.

第十六条 协商代表的合法权益受法律保护,其履行协商职责,视为提供正常劳动,企业无正当理由不得调整其工作岗位、降低其工资及各项福利待遇。

If the employment contract of a Representative expires while he/she is performing his/her duties, the term of his/her employment contract shall be extended automatically until such time as he/she has completed the performance of his/her duties. While a Representative is performing his/her duties, the enterprise may not terminate his/her employment contract, except in the circumstances set forth in Article 36 or 39 of the PRC Employment Contract Law.

协商代表在履行职责期间劳动合同期满的,劳动合同期限自动延长至完成履行职责时止。协商代表履行职责期间,企业不得解除其劳动合同,但《中华人民共和国劳动合同法》第三十六条、第三十九条规定的情形除外。

Section Three: Collective bargaining procedure

第三节 集体协商程序

Article 17: Employees and their enterprise may make a request for collective bargaining and carry out negotiations on the basis of equality in accordance with the law.

第十七条 职工方与企业可以提出集体协商要求,依法进行平等协商。

In general, collective bargaining shall be conducted once per year.

集体协商一般情况下一年进行一次。

Article 18: A request for collective bargaining shall be made in writing.

第十八条 集体协商要求应当以书面的形式提出。

If the employees deem it necessary to conduct collective bargaining with their enterprise, they shall make the same known to the enterprise's labour union. The enterprise's labour union shall determine whether to bring the request for collective bargaining before the enterprise based on the opinions of the employees and the specific circumstances of the enterprise. If proposed by at least half of the employees or at least half of the representatives to the employee representative congress, the enterprise's labour union shall bring the request for collective bargaining before the enterprise. If the enterprise does not have a labour union, the employees may submit a request for collective bargaining to the local labour union federation of the place where the enterprise is located. If the local labour union federation of the place where the enterprise is located secures the consent of at least half of the employees or at least half of the representatives to the employee representative congress, it shall bring the request for collective bargaining before the enterprise.

职工认为需要与企业进行集体协商的,应当向企业工会提出。企业工会可以根据职工意见和企业的具体情况决定是否向企业提出集体协商要求。经半数以上职工或者半数以上职工代表大会代表提议,企业工会应当向企业提出集体协商要求。企业尚未建立工会的,职工可以向企业所在地地方总工会提出集体协商请求。企业所在地地方总工会征得半数以上职工或者半数以上职工代表大会代表同意,应当向企业提出集体协商要求。

If an enterprise deems it necessary to conduct collective bargaining with its employees, it shall bring the request therefor before its labour union. If the enterprise does not have a labour union, it may bring such request before the local labour union federation of the place where it is located.

企业认为需要与职工进行集体协商的,应当向企业工会提出集体协商要求。企业尚未建立工会的,企业可以向所在地地方总工会提出集体协商要求。

Article 19: Where employees or their enterprise make(s) a request in writing for collective bargaining, the opposite party shall sign the acknowledgement of service at the time of receipt of the written materials for the request for collective bargaining, give a written reply within 30 days, addressing each item in the request for negotiations, and carry out negotiations on the relevant matters. The written materials for the request for collective bargaining shall include the date and place of the negotiations and the matters to be negotiated, and provide the reasons for the demands.

第十九条 职工方或者企业书面提出集体协商要求的,对方应当在收到集体协商要求书面材料时在送达回执上签收,并于三十日内给予书面答复,对应协商要求内容逐一作出回应,并就有关事项进行协商。集体协商要求书面材料应当包含协商时间、地点、内容等,并对其主张说明理由。

Article 20: The period of collective bargaining shall be three months from the date of service of the written materials for the request for collective bargaining. Depending on the actual circumstances of the enterprise, such period may be suitably reduced or increased if the parties reach agreement thereon through consultations, provided that any such increase may not exceed 60 days.

第二十条 集体协商期限为送达集体协商要求书面材料之日起三个月内。根据企业实际情况,双方协商同意可以适当缩短或者延长,但延长时间最长不超过六十日。

Article 21: In general, collective bargaining shall take the form of negotiations in face-to-face meetings, or, alternatively, may be conducted in writing or other form approved by the parties. If either party requests that it be conducted in face-to-face meetings, it shall be conducted in such form.

第二十一条 集体协商一般采用会议协商的形式,也可以采用书面形式或者双方认可的其他形式。一方要求采用会议协商形式的,应当采用会议协商形式。

Where collective bargaining is conducted in face-to-face meetings, such meetings shall be presided over by the chief Representatives of the parties either in turn or jointly. Minutes of collective bargaining meetings shall be signed in confirmation by all of the Representatives present at the meetings. Where collective bargaining is conducted in writing, the submitted written opinions shall be signed in confirmation by all of the Representatives.

集体协商采用会议协商形式的,由双方首席代表轮流或者共同主持。集体协商会议记录应当由全体与会协商代表签字确认。集体协商采用书面形式的,所提交的书面意见应当经全体协商代表签字确认。

The enterprise shall provide the venue and other such necessary resources for the negotiation sessions.

企业应当为协商会议提供会议场地等必要条件。

Article 22: When conducting collective bargaining, the employees and their enterprise shall take peaceful and rational means to maintain the enterprise's normal production and operation order and may not:

第二十二条 开展集体协商,职工方与企业应当采用平和、理性的方式,维护企业正常的生产经营秩序,不得有下列行为:

(1) refuse or deliberately delay without legitimate reason the collective bargaining;

(一)拒绝或者无正当理由故意拖延集体协商;

(2) intimidate or entice the Representatives of the other side;

(二)威胁或者利诱对方协商代表;

(3) disturb or disrupt the collective bargaining order by violence, coercion or other illegal means;

(三)以暴力、胁迫或者其他非法手段扰乱、破坏集体协商秩序;

(4) restrict the personal liberty of relevant persons, or insult, menace or use violence to injure them; or

(四)限制有关人员人身自由,或者进行侮辱、恐吓、暴力伤害;

(5) commit another act that could intensify the conflict.

(五)其他可能激化矛盾的行为。

Article 23: When conducting collective bargaining, the enterprise may not:

第二十三条 开展集体协商,企业不得有下列行为:

(1) restrict or interfere with the labour union in exercising its functions and powers or the employees in selecting their Representatives, or retaliate against the Representatives of the employees;

(一)限制、干扰工会履行职权或者职工方产生协商代表,对职工方协商代表打击报复;

(2) refuse to provide materials necessary for the collective bargaining or provide fraudulent materials; or

(二)拒绝提供集体协商所必需的材料或者提供虚假材料;

(3) refuse to perform the collective bargaining settlement agreement.

(三)拒绝执行集体协商调解协议。

Article 24: When conducting collective bargaining, employees may not:

第二十四条 开展集体协商,职工不得有下列行为:

(1) breach the terms of their employment contracts or fail to complete their work tasks;

违反劳动合同约定,不完成劳动任务;

(2) breach labour discipline or use any means to compel other workers of the enterprise to be absent from their jobs; or

(二)违反劳动纪律,或者以各种方式迫使企业其他员工离开工作岗位;

(3) block, obstruct or seal off the accesses to the enterprise or important thoroughfares, impede the entrance and exit of personnel, supplies, etc., damage enterprise equipment and tools or disrupt the normal order of production and other business of the enterprise or the public order.

(三)堵塞、阻碍或者封锁企业的出入通道和交通要道,阻止人员、物资等进出,破坏企业设备、工具或者破坏企业正常生产经营秩序和公共秩序。

Article 25: Where the parties reach a consensus through collective bargaining, the enterprise shall prepare the draft of the collective contract.

第二十五条 集体协商双方达成一致意见的,由企业方制作集体合同草案。

Where collective bargaining fails to produce a consensus, the negotiations may be suspended if agreed to by the parties and a time for resumption of negotiations agreed upon.

集体协商未达成一致意见的,经双方同意,可以中止协商并商定恢复协商的时间。

Part Three: Collective contracts

第三章 集体合同

Article 26: The draft of a collective contract shall be presented by the labour union or the Representatives of the employees to the employee representative congress or all of the employees for discussion. Discussion of the draft of the collective contract by the employee representative congress or all of the employees shall require the presence of at least two thirds of the employee representatives or employees, and the consent of at least half of all of the employee representatives or at least half of all of the employees shall be required for its adoption. Once the draft of the collective contract has been discussed and adopted, it shall be formed upon the signing and stamping thereof by the chief Representatives of both parties. The collective contract shall be submitted to the local administrative department for human resources and social security for the record by the enterprise within seven days from the date of its formation.

第二十六条 集体合同草案应当由工会或者职工方协商代表提交职工代表大会或者全体职工讨论。职工代表大会或者全体职工讨论集体合同草案,应当有三分之二以上职工代表或者职工出席,且经全体职工代表半数或者全体职工半数以上同意,集体合同草案方获通过。集体合同草案讨论通过后,由集体协商双方首席协商代表签字盖章后成立,并由企业自订立集体合同之日起七日内送当地人力资源社会保障行政部门备案。

If the draft of the collective contract is rejected, the Representatives of the employees shall listen to and collect the opinions of the employees on the matters that were rejected and, after further negotiations with the Representatives of the enterprise, submit them again for discussion and adoption.

集体合同草案未获通过的,职工方协商代表应当就未通过事项听取和收集职工的意见,与企业协商代表进行补充协商后,再次提交讨论通过。

Article 27: Once a collective contract has been formed and legally entered into effect, it shall be binding on the enterprise and all of the employees and be strictly implemented by them. The enterprise shall announce the collective contract to all of its employees within five days from the date of its entry into effect.

第二十七条 集体合同订立并依法生效后,对企业和企业全体职工具有约束力,双方应当严格履行。企业应当自集体合同生效之日起五日内将集体合同向全体职工公布。

Article 28: The term of a collective contract shall be one to three years. Once the term of a collective contract expires or a condition for its termination as specified by the parties arises, the collective contract shall immediately terminate.

第二十八条 集体合同期限为一至三年。集体合同期限届满或者双方约定的终止条件出现,集体合同即行终止。

Either party may make a request to the other party for the execution of a new collective contract or its renewal three months before its expiration.

集体合同期满前三个月内,任何一方均可向对方提出重新签订或者续订的要求。

Article 29: A change in the name of the enterprise, its legal representative, main person(s) in charge or equity, a capital increase or reduction, or other such matter during the term of a collective contract shall not affect its validity.

第二十九条 集体合同有效期内企业变更名称、法定代表人、主要负责人、股权和增资减资等事项,不影响集体合同效力。

Article 30: A collective contract may be amended or terminated if:

第三十条 有下列情形之一的,可以变更或者解除集体合同:

(1) the parties reach a consensus thereon through consultations;

(一)双方协商一致;

(2) it becomes partially or wholly unperformable due to force majeure;

(二)因不可抗力致使集体合同部分不能履行或者全部不能履行;

(3) the enterprise goes bankrupt, ceases production or is dissolved, making its performance impossible; or

(三)企业破产、停产、解散,致使集体合同无法履行;

(4) another circumstance as specified in laws or regulations arises.

(四)法律、法规规定的其他情形。

The procedures for collective bargaining and the execution of collective contracts specified herein shall apply to the amendment and termination of collective contracts.

变更或者解除集体合同适用本条例规定的集体协商和签订集体合同程序。

Part Four: Dispute handling

第四章 争议处理

Article 31: Employees and their enterprise shall resolve collective bargaining disputes based on the facts and in compliance with the principles of lawfulness, orderliness and peacefulness.

第三十一条 职工方和企业应当根据事实,遵循合法、有序、平和的原则,处理集体协商争议。

Article 32: If a dispute arises in the course of collective bargaining or performance of the collective contract, and the employees and enterprise are unwilling to hold consultations, or the consultations prove fruitless, or, after they reach a settlement agreement, such agreement is not performed, an application for mediation may be made to a lawfully established grassroots people's mediation organisation or an organisation that has labour dispute mediation functions.

第三十二条 在开展集体协商或者履行集体合同过程中发生争议的,职工方与企业不愿协商、协商不成或者达成和解协议后不履行的,可以向依法设立的基层人民调解组织或者具有劳动争议调解职能的组织申请调解。

If an agreement is reached through the mediation of the dispute, the employees and enterprise shall perform the same.

争议经调解达成协议的,职工和企业应当履行。

Article 33: If a dispute arises between the employees and their enterprise in the course of collective bargaining, the employees may make a request to the local labour union federation of the place where the enterprise is located to help reconciliation, and such labour union federation shall promptly intervene, guide and assist the employees in carrying out negotiations with the enterprise in accordance with the law, and help the parties to reach a consensus.

第三十三条 开展集体协商,职工方与企业发生争议的,职工方可以向企业所在地地方总工会提出协调请求,企业所在地地方总工会应当及时介入,指导、帮助职工方与企业依法开展协商,协调双方达成一致意见。

Article 34: If a dispute arises between the employees and their enterprise in the course of collective bargaining, the enterprise representative organisation shall promptly intervene, and guide and attempt to procure the conduct of collective bargaining by the enterprise with its employees in accordance with the law, assist the enterprise in maintaining the normal order of production and other business and help the parties to reach a consensus.

第三十四条 开展集体协商,职工方与企业发生争议的,企业方面代表组织应当及时介入,指导、督促企业依法与职工方开展集体协商,协助企业维护正常生产经营秩序,协调双方达成一致意见。

Article 35: If a dispute still cannot be resolved after the reconciliation attempt offered by the local labour union federation of the place where the enterprise is located and the enterprise representative organisation, the local administrative department for human resources and social security shall assign personnel or designate persons from the directory of collective bargaining experts to help reconciliation.

第三十五条 经企业所在地地方总工会、企业方面代表组织协调仍未能解决争议的,当地人力资源社会保障行政部门应当派出人员或者从集体协商专家名册中指定人员进行协调。

Article 36: Where a collective bargaining dispute involving a relatively large number of persons or that has a relatively large effect arises, the people's government at each level shall coordinate on an overall basis relevant departments such as the department for human resources and social security, public security department, judicial administrative department and state-owned assets supervision and administration authority, together with the local labour union federation and enterprise representative organisation to jointly help reconciliation.

第三十六条 发生涉及人数较多、影响较大的集体协商争议,各级人民政府应当统筹协调人力资源社会保障、公安、司法行政、国有资产监督管理机构等有关部门,会同地方总工会、企业方面代表组织共同协调处理。

Article 37: Where collective bargaining is being conducted and an enterprise or public institution that provides public services such as water supply, electricity supply, gas supply, public transport, broadcasting, communications, television, public health, medical services, education or financial services halts production or halts operations, or the employees affect the normal order of production and other business of an enterprise or public institution that provides public services, or other such circumstance arises, thereby giving rise or potentially giving rise to any of the following consequences, the local people's government may, depending on the actual circumstances, issue an order to the aforementioned enterprise/public institution or employees to halt such act and restore the normal order:

第三十七条 开展集体协商,供水、供电、供气、公共运输、广播通信、电视、公共卫生、医疗、教育、金融等提供公共服务的企业事业单位发生停产、停业,或者职工影响提供公共服务的企业事业单位正常生产经营秩序等情形,导致或者可能导致下列后果之一的,当地人民政府可以根据实际情况发布命令,责令上述企业事业单位、职工停止该项行为,恢复正常秩序:

(1) jeopardising public safety;

(一)危害公共安全;

(2) disrupting the normal social order or the order of people's livelihood; or

(二)损害正常的社会秩序和居民生活秩序;

(3) another consequence that seriously jeopardises the public interest.

(三)其他严重危害公共利益的后果。

The local administrative department for human resources and social security, relevant government departments, local labour union federation and enterprise representative organisation shall guide and procure the conduct of collective bargaining by the parties in order to defuse the conflict.

当地人力资源社会保障行政部门、政府有关部门、地方总工会、企业方面代表组织应当指导和督促双方开展集体协商,化解矛盾。

Article 38: If a dispute arises in connection with the performance of a collective contract and consultations fail to resolve such dispute, the labour union or enterprise may apply for arbitration or institute a legal action in accordance with the law.

第三十八条 因履行集体合同发生争议,经协商解决不成的,工会或者企业可以依法申请仲裁、提起诉讼。

Part Five: Legal liability

第五章 法律责任

Article 39: If a Representative violates Article 15 hereof by divulging trade secrets of the enterprise, causing the enterprise to incur a loss, he/she shall be liable for compensation in accordance with the law. If a criminal offence is constituted, his/her criminal liability shall be pursued in accordance with the law.

第三十九条 协商代表违反本条例第十五条规定,泄露企业商业秘密,给企业造成损失的,依法承担赔偿责任;构成犯罪的,依法追究刑事责任。

Article 40: If a relevant person of an enterprise commits any of the acts set forth in Item (2), (3) or (4) of Article 22 or Item (1) of Article 23 hereof, thereby violating provisions on the administration of law and order, the matter shall be dealt with in accordance with relevant provisions of the PRC Law on the Imposition of Penalties in Connection with the Administration of Law and Order. If a criminal offence is constituted, his/her criminal liability shall be pursued in accordance with the law.

第四十条 企业有关人员有本条例第二十二条第二项、第三项、第四项,或者第二十三条第一项规定的行为,违反治安管理规定的,按照《中华人民共和国治安管理处罚法》有关规定处理;构成犯罪的,依法追究当事人的刑事责任。

If an employee commits any of the acts set forth in Item (2), (3) or (4) of Article 22 or Item (3) of Article 24 hereof, thereby violating provisions on the administration of law and order, the matter shall be dealt with in accordance with relevant provisions of the PRC Law on the Imposition of Penalties in Connection with the Administration of Law and Order. If a criminal offence is constituted, his/her criminal liability shall be pursued in accordance with the law.

职工有本条例第二十二条第二项、第三项、第四项,或者第二十四条第三项规定的行为,违反治安管理规定的,按照《中华人民共和国治安管理处罚法》有关规定处理;构成犯罪的,依法追究当事人的刑事责任。

Article 41: If an enterprise or public institution that provides public services or the employees thereof refuse(s) to execute an order issued by the local people's government pursuant to Article 37 hereof, thereby violating provisions on the administration of law and order, the matter shall be dealt with in accordance with relevant provisions of the PRC Law on the Imposition of Penalties in Connection with the Administration of Law and Order.

第四十一条 提供公共服务的企业事业单位或者职工拒不执行当地人民政府根据本条例第三十七条规定发布的命令,违反治安管理规定的,按照《中华人民共和国治安管理处罚法》有关规定处理。

Article 42: If a member of the working personnel of an enterprise representative organisation fails to perform his/her duties in accordance with the law or jeopardises the lawful rights and interests of the enterprise in the course of collective bargaining work, the enterprise representative organisation shall order him/her to rectify the matter. If the circumstances are serious, he/she shall be dismissed in accordance with the charter of the enterprise representative organisation or disciplined in accordance with the law.

第四十二条 企业方面代表组织工作人员在集体协商工作中不依法履行职责或者损害企业合法权益,由企业方面代表组织责令改正;情节严重的,依照企业方面代表组织的章程予以罢免,或者依法给予处分。

Article 43: If a member of the working personnel of a labour union fails to perform his/her duties in accordance with the law or jeopardises the lawful rights and interests of the employees in the course of collective bargaining work, the labour union at the same level or the labour union at a higher level shall order him/her to rectify the matter. If the circumstances are serious, he/she shall be dismissed in accordance with the Constitution of Chinese Labour Unions or disciplined in accordance with the law. If a criminal offence is constituted, his/her criminal liability shall be pursued in accordance with the law.

第四十三条 工会工作人员在集体协商工作中不依法履行职责或者损害职工合法权益,由同级工会或者上级工会责令改正;情节严重的,依照《中国工会章程》予以罢免,或者依法给予处分;构成犯罪的,依法追究刑事责任。

Article 44: If a member of the working personnel of a relevant government department is derelict in his/her duties, abuses his/her authority, practises favouritism by committing fraud in the course of collective bargaining work, he/she shall be disciplined by the relevant competent department. If a criminal offence is constituted, his/her criminal liability shall be pursued in accordance with the law.

第四十四条 政府有关部门工作人员在集体协商工作中玩忽职守、滥用职权、徇私舞弊的,由有关主管部门给予处分;构成犯罪的,依法追究刑事责任。

Part Six: Supplementary provisions

第六章 附 则

Article 45: Subject to the authorisation and consent of the enterprise, the conduct of collective bargaining on relevant matters and the execution and performance of a collective contract between a (sub-)branch of such enterprise and the employees thereof shall be handled in accordance herewith.

第四十五条 企业分支机构经企业授权同意,与分支机构的职工方就有关事项进行集体协商和签订、履行集体合同,依照本条例执行。

Where public institutions that implement corporate style management and private non-enterprise entities conduct collective bargaining and execute and perform collective contracts, matters shall be handled in accordance herewith.

实行企业化管理的事业单位和民办非企业单位开展集体协商和签订、履行集体合同,依照本条例执行。

Article 46: These Regulations shall be effective as of January 1 2015.
