Tentative Measures for the Regulation of Private Investment Funds
私募投资基金监督管理暂行办法
Private fund property shall be invested in investment targets that include the trading of stocks, equity, bonds, futures, options, fund shares and other targets specified in the investment contract.

Part One: General provisions
第一章 总则
Article 1: These Measures have been formulated pursuant to the Securities Investment Fund Law and the State Council, Several Opinions on Further Promoting the Healthy Development of Capital Markets in order to regulate private investment fund activities, protect the lawful rights and interests of investors and relevant parties and promote the healthy development of the private investment fund industry.
第一条为了规范私募投资基金活动,保护投资者及相关当事人的合法权益,促进私募投资基金行业健康发展,根据《证券投资基金法》、《国务院关于进一步促进资本市场健康发展的若干意见》,制定本办法。
Article 2: For the purposes of these Measures, the term “private investment fund” (Private Fund) means an investment fund established in the People's Republic of China by raising funds from investors in a non-public manner.
第二条本办法所称私募投资基金(以下简称私募基金),是指在中华人民共和国境内,以非公开方式向投资者募集资金设立的投资基金。
Private Fund property shall be invested in investment targets that include the trading of stocks, equity, bonds, futures, options, fund shares and other targets specified in the investment contract.
私募基金财产的投资包括买卖股票、股权、债券、期货、期权、基金份额及投资合同约定的其他投资标的。
Where the assets of a company or partnership established with privately raised funds for the purpose of engaging in investment activities are managed by a fund manager or general partner, these Measures shall apply to the registration/record filing of, raising of funds by, and the investment operations of, such company or partnership.
非公开募集资金,以进行投资活动为目的设立的公司或者合伙企业,资产由基金管理人或者普通合伙人管理的,其登记备案、资金募集和投资运作适用本办法。
These Measures shall apply to the engagement in the Private Fund business by securities companies, fund management companies, futures companies and their subsidiaries, and if other laws, regulations or relevant provisions of the China Securities Regulatory Commission (the CSRC) provide otherwise in respect of the engagement in the Private Fund business by the aforementioned firms, such provisions shall apply.
证券公司、基金管理公司、期货公司及其子公司从事私募基金业务适用本办法,其他法律法规和中国证券监督管理委员会(以下简称中国证监会)有关规定对上述机构从事私募基金业务另有规定的,适用其规定。
Article 3: To engage in the Private Fund business, the principles of free will, fairness and good faith shall be complied with, the lawful rights and interests of investors shall be safeguarded and the interests of the state and the public may not be prejudiced.
第三条 从事私募基金业务,应当遵循自愿、公平、诚实信用原则,维护投资者合法权益,不得损害国家利益和社会公共利益。
Article 4: Private Fund managers and institutions that engage in Private Fund custody business (Private Fund Custodians) in managing and applying Private Fund property, institutions that engage in the Private Fund sales business (Private Fund Sellers) and other private offer service institutions in engaging in Private Fund service activities shall scrupulously fulfil their duties and perform their obligations of good faith and due diligence.
第四条 私募基金管理人和从事私募基金托管业务的机构(以下简称私募基金托管人)管理、运用私募基金财产,从事私募基金销售业务的机构(以下简称私募基金销售机构)及其他私募服务机构从事私募基金服务活动,应当恪尽职守,履行诚实信用、谨慎勤勉的义务。
Private Fund personnel shall observe laws and administrative regulations and scrupulously abide by professional ethics and codes of conduct.
私募基金从业人员应当遵守法律、行政法规,恪守职业道德和行为规范。
Article 5: The CSRC and its agencies shall regulate the Private Fund business activities in accordance with the Securities Investment Fund Law, these Measures and other relevant CSRC provisions.
第五条 中国证监会及其派出机构依照《证券投资基金法》、本办法和中国证监会的其他有关规定,对私募基金业务活动实施监督管理。
The establishment of Private Fund management institutions and the offering of Private Funds shall not be subject to administrative examination and approval. The various types of offering entities shall, on the basis of lawfulness and compliance, be permitted to offer Private Funds to investors the number of which, in the aggregate, does not exceed that specified in law. A Private Fund offering regulatory system shall be established and improved, during- and after-the-event regulation shall be duly strengthened, and illegal fund raising activities done in the guise of Private Funds shall be strictly cracked down upon in accordance with the law.
设立私募基金管理机构和发行私募基金不设行政审批,允许各类发行主体在依法合规的基础上,向累计不超过法律规定数量的投资者发行私募基金。建立健全私募基金发行监管制度,切实强化事中事后监管,依法严厉打击以私募基金为名的各类非法集资活动。
Management systems for risk control and self-regulation that promote the compliant engagement in the Private Fund business by operating institutions and a uniform monitoring system for the various types of Private Funds shall be established.
建立促进经营机构规范开展私募基金业务的风险控制和自律管理制度,以及各类私募基金的统一监测系统。
Article 6: The Asset Management Association of China (AMAC) shall carry out industry self-regulation in respect of the Private Fund industry, harmonise industry relations, provide industry services and promote the development of the industry in accordance with the Securities Investment Fund Law, these Measures, other relevant CSRC provisions and its own self-regulation rules.
第六条 中国证券投资基金业协会(以下简称基金业协会)依照《证券投资基金法》、本办法、中国证监会其他有关规定和基金业协会自律规则,对私募基金业开展行业自律,协调行业关系,提供行业服务,促进行业发展。
Part Two: Registration and record filing
第二章 登记备案
Article 7: Managers of different Private Funds shall apply to AMAC for registration and submit the following basic information in accordance with AMAC provisions:
第七条 各类私募基金管理人应当根据基金业协会的规定,向基金业协会申请登记,报送以下基本信息:
(1) photocopies of the originals and duplicates of its business registration and business licence;
(一)工商登记和营业执照正副本复印件;
(2) its articles of association or partnership agreement;
(二)公司章程或者合伙协议;
(3) a list of its major shareholders or partners;
(三)主要股东或者合伙人名单;
(4) the basic particulars of its senior management personnel; and
(四)高级管理人员的基本信息;
(5) other information as specified by AMAC.
(五)基金业协会规定的其他信息。
AMAC shall complete the registration procedures for the Private Fund manager within 20 working days after all of the registration materials of the Private Fund manager being in order by posting the list and basic particulars of Private Fund managers on its website.
基金业协会应当在私募基金管理人登记材料齐备后的 20 个工作日内,通过网站公告私募基金管理人名单及其基本情况的方式,为私募基金管理人办结登记手续。
Article 8: Once the offering of a Private Fund has been completed, the Private Fund manager shall carry out fund record filing procedures and submit the following basic information in accordance with AMAC provisions:
第八条 各类私募基金募集完毕,私募基金管理人应当根据基金业协会的规定,办理基金备案手续,报送以下基本信息:
(1) the main investment orientation and the fund type as indicated based on the main investment orientation;
(一)主要投资方向及根据主要投资方向注明的基金类别;
(2) the fund contract and the articles of association or partnership agreement; if a prospectus was provided to the investors in the course of the offering, the prospectus shall be submitted; a private fund established in the form of a company, partnership or other such form shall additionally submit photocopies of the originals and duplicates of its business registration and business licence;
(二)基金合同、公司章程或者合伙协议。资金募集过程中向投资者提供基金招募说明书的,应当报送基金招募说明书。以公司、合伙等企业形式设立的私募基金,还应当报送工商登记和营业执照正副本复印件;
(3) if the entrusted management method is adopted, the entrusted management agreement shall be submitted; if a custodian is engaged to have custody of the fund property, the custody agreement shall additionally be submitted; and
(三)采取委托管理方式的,应当报送委托管理协议。委托托管机构托管基金财产的,还应当报送托管协议;
(4) other information as specified by AMAC.
(四)基金业协会规定的其他信息。
AMAC shall complete the record filing procedures for the Private Fund within 20 working days after all of the Private Fund record filing materials are in order by posting the list and basic particulars of Private Funds on its website.
基金业协会应当在私募基金备案材料齐备后的 20 个工作日内,通过网站公告私募基金名单及其基本情况的方式,为私募基金办结备案手续。
Article 9: The registration or record filing of a Private Fund manager or Private Fund by AMAC shall not constitute an endorsement by AMAC of the Private Fund manager's investment capabilities or continuing compliance, and shall not serve as a guarantee of the safety of the fund property.
第九条 基金业协会为私募基金管理人和私募基金办理登记备案不构成对私募基金管理人投资能力、持续合规情况的认可;不作为对基金财产安全的保证。
Article 10: If a Private Fund manager is dissolved in accordance with the law, is closed down in accordance with the law or is declared bankrupt in accordance with the law, its legal representative or general partner shall report the same to AMAC within 20 working days, and AMAC shall cancel the Private Fund manager's registration in a timely manner and announce the same on its website.
第十条 私募基金管理人依法解散、被依法撤销、或者被依法宣告破产的,其法定代表人或者普通合伙人应当在 20 个工作日内向基金业协会报告,基金业协会应当及时注销基金管理人登记并通过网站公告。
Part Three: Qualified investors
第三章 合格投资者
Article 11: A Private Fund shall be offered to qualified investors, and the aggregate number of investors in a single Private Fund may not exceed the specific number specified in laws such as the Securities Investment Fund Law, the Company Law and the Partnership Law.
第十一条 私募基金应当向合格投资者募集,单只私募基金的投资者人数累计不得超过《证券投资基金法》、《公司法》、《合伙企业法》等法律规定的特定数量。
When an investor transfers fund shares, the transferee shall be a qualified investor and the number of investors after the acquisition of the fund shares shall comply with the preceding paragraph.
投资者转让基金份额的,受让人应当为合格投资者且基金份额受让后投资者人数应当符合前款规定。
Article 12: The term “qualified investor of a Private Fund” means an entity or individual who has the attendant capacity to identify and bear risks, invests not less than Rmb1 million in a single Private Fund and satisfies the following relevant criterion:
第十二条 私募基金的合格投资者是指具备相应风险识别能力和风险承担能力,投资于单只私募基金的金额不低于 100 万5元且符合下列相关标准的单位和个人:
(1) an entity with net assets of not less than Rmb10 million; or
(一)净资产不低于 1000 万元的单位;
(2) an individual with financial assets of not less than Rmb3 million or whose average annual income during the most recent three years is not less than Rmb500,000.
(二)金融资产不低于 300 万元或者最近三年个人年均收入不低于 50 万元的个人。
The term “financial assets” in the preceding paragraph includes bank deposits, stocks, bonds, fund shares, asset management plans, bank wealth management products, trust plans, insurance products and futures interests.
前款所称金融资产包括银行存款、股票、债券、基金份额、资产管理计划、银行理财产品、信托计划、保险产品、期货权益等。
Article 13: The following investors shall be deemed qualified investors:
第十三条 下列投资者视为合格投资者:
(1) old-age funds such as social security funds and enterprise annuities, and social welfare funds such as charitable foundations;
(一)社会保障基金、企业年金等养老基金,慈善基金等社会公益基金;
(2) investment plans that have been lawfully established and placed on the record with AMAC;
(二)依法设立并在基金业协会备案的投资计划;
(3) Private Fund managers that invest in the Private Funds under their management and their business personnel; and
(三)投资于所管理私募基金的私募基金管理人及其从业人员;
(4) other investors as specified by the CSRC.
(四)中国证监会规定的其他投资者。
Where funds from a number of investors are pooled in the form of a partnership, contract or other such non-legal person form and directly or indirectly invested in a Private Fund, the Private Fund manager or Private Fund Seller shall conduct a thorough review to determine whether the ultimate investor is a qualified investor and calculate the number of investors together. However, where an investor complying with Item (1), (2) or (4) of this Article invests in a Private Fund, no thorough review to determine whether the ultimate investor is a qualified investor or combined calculation of the number of investors shall be carried out.
以合伙企业、契约等非法人形式,通过汇集多数投资者的资金直接或者间接投资于私募基金的,私募基金管理人或者私募基金销售机构应当穿透核查最终投资者是否为合格投资者,并合并计算投资者人数。但是,符合本条第(一)、(二)、(四)项规定的投资者投资私募基金的,不再穿透核查最终投资者是否为合格投资者和合并计算投资者人数。
Part Four: Fund raising
第四章 资金募集
Article 14: A Private Fund manager or Private Fund Seller may not make an offering to an entity or individual other than a qualified investor, nor may it publicise or promote such offering to non-specific targets through mass media such as newspapers, periodicals, radio, television or the internet or by means such as forums, symposiums, workshops or bulletin boards, leaflets, mobile text messages, WeChat, blogs or e-mail.
第十四条 私募基金管理人、私募基金销售机构不得向合格投资者之外的单位和个人募集资金,不得通过报刊、电台、电视、互联网等公众传播媒体或者讲座、报告会、分析会和布告、传单、手机短信、微信、博客和电子邮件等方式,向不特定对象宣传推介。
Article 15: A Private Fund manager or Private Fund Seller may not undertake to investors that their principal will not suffer loss or give them an undertaking of minimum returns.
第十五条 私募基金管理人、私募基金销售机构不得向投资者承诺投资本金不受损失或者承诺最低收益。
Article 16: Where a Private Fund manager sells the Private Fund itself, it shall assess the risk identification and bearing capacity of investors by way of a questionnaire or other such means, and investors shall undertake in writing that they satisfy the qualified investor conditions. A risk disclosure shall be prepared that shall be signed in confirmation by the investors.
第十六条 私募基金管理人自行销售私募基金的,应当采取问卷调查等方式,对投资者的风险识别能力和风险承担能力进行评估,由投资者书面承诺符合合格投资者条件;应当制作风险揭示书,由投资者签字确认。
Where a Private Fund manager engages a sales institution to sell the Private Fund, the Private Fund Seller shall adopt the assessment and confirmation measures specified in the preceding paragraph.
私募基金管理人委托销售机构销售私募基金的,私募基金销售机构应当采取前款规定的评估、确认等措施。
The guidelines for the contents and format of investor risk identification and bearing capacity questionnaires and risk disclosures shall be formulated by AMAC based on the features of the different types of Private Funds.
投资者风险识别能力和承担能力问卷及风险揭示书的内容与格式指引,由基金业协会按照不同类别私募基金的特点制定。
Article 17: When a Private Fund manager itself sells or engages a sales institution to sell a Private Fund, it shall itself carry out a risk rating of the Private Fund and promote the Private Fund to investors with matching risk identification and risk bearing capacity, or engage a third party institution to do so.
第十七条 私募基金管理人自行销售或者委托销售机构销售私募基金,应当自行或者委托第三方机构对私募基金进行风险评级,向风险识别能力和风险承担能力相匹配的投资者推介私募基金。
Article 18: An investor shall truthfully complete the risk identification and risk bearing capacity questionnaire, give a true undertaking as to its/his/her assets or income, and be liable for the truthfulness, accuracy and completeness thereof. If fraudulent information or a fraudulent undertaking document is provided, the attendant liability shall be borne.
第十八条 投资者应当如实填写风险识别能力和承担能力问卷,如实承诺资产或者收入情况,并对其真实性、准确性和完整性负责。填写虚假信息或者提供虚假承诺文件的,应当承担相应责任。
Article 19: An investor shall ensure that the provenance of the investment funds is lawful, and may not illegally pool the funds of others to invest in a Private Fund.
第十九条 投资者应当确保投资资金来源合法,不得非法汇集他人资金投资私募基金。
Part Five: Investment operations
第五章 投资运作
Article 20: When offering a private securities fund, a fund contract and articles of association or a partnership agreement (hereafter collectively referred to as the “Fund Contract”) shall be prepared and executed. The Fund Contract shall comply with Articles 93 and 94 of the Securities Investment Fund Law.
第二十条 募集私募证券基金,应当制定并签订基金合同、公司章程或者合伙协议(以下统称基金合同)。基金合同应当符合《证券投资基金法》第九十三条、第九十四条规定。
When offering another type of Private Fund, reference shall be made to Articles 93 and 94 of the Securities Investment Fund Law for the Fund Contract, which shall expressly set forth the rights and obligations of the concerned parties and relevant matters.
募集其他种类私募基金,基金合同应当参照《证券投资基金法》第九十三条、第九十四条规定,明确约定各方当事人的权利、义务和相关事宜。
Article 21: Unless otherwise provided in the Fund Contract, the fund custodian shall have custody of the Private Fund.
第二十一条 除基金合同另有约定外,私募基金应当由基金托管人托管。
If the Fund Contract provides that the Private Fund will not be held in custody, the systems and measures for ensuring the safety of the Private Fund property and the dispute resolution mechanism shall be expressly specified in the Fund Contract.
基金合同约定私募基金不进行托管的,应当在基金合同中明确保障私募基金财产安全的制度措施和纠纷解决机制。
Article 22: If a Private Fund manager manages different types of Private Funds, it shall adhere to professional management principles. Where different funds that could lead to the funneling of interests or a conflict of interests are being managed, a mechanism to guard against such funneling of interests or conflict of interests shall be established.
第二十二条 同一私募基金管理人管理不同类别私募基金的,应当坚持专业化管理原则;管理可能导致利益输送或者利益冲突的不同私募基金的,应当建立防范利益输送和利益冲突的机制。
Article 23: When a Private Fund manager, Private Fund Custodian, Private Fund Seller or other private offer service institution and its business personnel engage in the Private Fund business, they may not:
第二十三条 私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构及其从业人员从事私募基金业务,不得有以下行为:
(1) mix their own property or that of others with the fund property to carry out investment activities;
(一)将其固有财产或者他人财产混同于基金财产从事投资活动;
(2) treat the property of different funds under their management in an unequal manner;
(二)不公平地对待其管理的不同基金财产;
(3) use fund property or the advantages of their position to seek gains for themselves or persons other than the investors or carry out the funneling of interests;
(三)利用基金财产或者职务之便,为本人或者投资者以外的人牟取利益,进行利益输送;
(4) misappropriate or divert fund property;
(四)侵占、挪用基金财产;
(5) disclose non-public information to which they are privy as a result of their duties, or utilise such information to engage in or to expressly or implicitly instruct another to engage in relevant trading activities;
(五)泄露因职务便利获取的未公开信息,利用该信息从事或者明示、暗示他人从事相关的交易活动;
(6) engage in investment activities that prejudice fund property and the interests of investors;
(六)从事损害基金财产和投资者利益的投资活动;
(7) be derelict in their duties, or fail to perform their duties in accordance with provisions;
(七)玩忽职守,不按照规定履行职责;
(8) engage in insider trading, the manipulation of trading prices or other unfair trading activities; or
(八)从事内幕交易、操纵交易价格及其他不正当交易活动;
(9) other acts as prohibited by laws, administrative regulations and CSRC provisions.
(九)法律、行政法规和中国证监会规定禁止的其他行为。
Article 24: A Private Fund manager and Private Fund Custodian shall, in accordance with the contract, truthfully disclose to investors the fund investments, assets and liabilities, distribution of investment returns, expenses and performance remuneration borne by the fund, potential conflicts of interest and other material information that could have an impact on the investors' lawful rights and interests, and they may not withhold information or provide false information. The rules for information disclosure shall be formulated separately by AMAC.
第二十四条 私募基金管理人、私募基金托管人应当按照合同约定,如实向投资者披露基金投资、资产负债、投资收益分配、基金承担的费用和业绩报酬、可能存在的利益冲突情况以及可能影响投资者合法权益的其他重大信息,不得隐瞒或者提供虚假信息。信息披露规则由基金业协会另行制定。
Article 25: A Private Fund manager shall, in accordance with AMAC provisions, provide in a timely manner and regularly update relevant information on itself and its business personnel, details on the investment operations of the Private Funds under its management and details on its use of leverage, and ensure that the information it provides is true, accurate and complete. If a material event occurs, it shall report the same to AMAC within 10 working days.
第二十五条 私募基金管理人应当根据基金业协会的规定,及时填报并定期更新管理人及其从业人员的有关信息、所管理私募基金的投资运作情况和杠杆运用情况,保证所填报内容真实、准确、完整。发生重大事项的,应当在 10 个工作日内向基金业协会报告。
A Private Fund manager shall submit to AMAC its annual financial reports audited by an accounting firm and basic information on the investment operations of the Private Funds under its management within four months after the end of each financial year.
私募基金管理人应当于每个会计年度结束后的 4 个月内,向基金业协会报送经会计师事务所审计的年度财务报告和所管理私募基金年度投资运作基本情况。
Article 26: A Private Fund manager, Private Fund Custodian and Private Fund Seller shall duly keep records and other relevant information on Private Fund investment decisions, trading and management of investor suitability, etc. for a period of not less than 10 years from the date of liquidation and ending of the fund.
第二十六条 私募基金管理人、私募基金托管人及私募基金销售机构应当妥善保存私募基金投资决策、交易和投资者适当性管理等方面的记录及其他相关资料,保存期限自基金清算终止之日起不得少于 10 年。
Part Six: Industry self-regulation
第六章 行业自律
Article 27: AMAC shall establish an information system for the management of Private Fund manager registration and Private Fund record filing.
第二十七条 基金业协会应当建立私募基金管理人登记、私募基金备案管理信息系统。
AMAC shall maintain strict confidentiality of Private Fund manager and Private Fund information. Unless otherwise provided in law, it may not disclose the same to third parties.
基金业协会应当对私募基金管理人和私募基金信息严格保密。除法律法规另有规定外,不得对外披露。
Article 28: AMAC shall establish a mechanism for sharing information with the CSRC, its agencies and other relevant authorities, regularly summarise and analyse the Private Fund situation and provide relevant information on Private Funds in a timely manner.
第二十八条 基金业协会应当建立与中国证监会及其派出机构和其他相关机构的信息共享机制,定期汇总分析私募基金情况,及时提供私募基金相关信息。
Article 29: AMAC shall formulate and implement Private Fund industry self-regulation rules, and monitor and inspect the practice acts of members and their business personnel.
第二十九条 基金业协会应当制定和实施私募基金行业自律规则,监督、检查会员及其从业人员的执业行为。
If a member or any of its business personnel violates a law, a set of administrative regulations, these Measures or the AMAC self-regulation rules, AMAC may take self-regulation administrative measures depending on the seriousness of the circumstances, and disclose information on the relevant violation of the law or regulations on its website. If a member or any of its business personnel is suspected of violating a law or regulation, AMAC shall report the same to the CSRC in a timely manner.
会员及其从业人员违反法律、行政法规、本办法规定和基金业协会自律规则的,基金业协会可以视情节轻重,采取自律管理措施,并通过网站公开相关违法违规信息。会员及其从业人员涉嫌违法违规的,基金业协会应当及时报告中国证监会。
Article 30: AMAC shall establish a complaint handling mechanism, accept complaints from investors and mediate disputes.
第三十条 基金业协会应当建立投诉处理机制,受理投资者投诉,进行纠纷调解。
Part Seven: Regulation
第七章 监督管理
Article 31: The CSRC and its agencies shall carry out statistical monitoring and inspections of the engagement in the Private Fund business by Private Fund managers, Private Fund Custodians, Private Fund Sellers and other private offer service institutions in accordance with the law and take relevant measures in accordance with Article 114 of the Securities Investment Fund Law.
第三十一条 中国证监会及其派出机构依法对私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构开展私募基金业务情况进行统计监测和检查,依照《证券投资基金法》第一百一十四条规定采取有关措施。
Article 32: The CSRC will input information on the integrity of Private Fund managers, Private Fund Custodians, Private Fund Sellers, other private offer service institutions and their business personnel in the integrity file database of securities and futures markets, and subject Private Fund managers to differentiated regulation based on their integrity status.
第三十二条 中国证监会将私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构及其从业人员诚信信息记入证券期货市场诚信档案数据库;根据私募基金管理人的信用状况,实施差异化监管。
Article 33: If a Private Fund manager, Private Fund Custodian, Private Fund Seller or other private offer service institution or any of its business personnel violates a law, a set of administrative regulations or these Measures, the CSRC or its agency may take administrative regulatory measures such as ordering rectification of the matter, giving a regulatory lecture, issuing of a letter of warning or delivering a public reprimand.
第三十三条 私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构及其从业人员违反法律、行政法规及本办法规定,中国证监会及其派出机构可以对其采取责令改正、监管谈话、出具警示函、公开谴责等行政监管措施。
Part Eight: Special provisions on venture capital funds
第八章 关于创业投资基金的特别规定
Article 34: For the purposes of these Measures, the term “venture capital fund” means an equity investment fund that mainly invests in equity of unlisted venture enterprises such as common shares, preference shares that can be converted into common shares in accordance with the law and convertible bonds.
第三十四条 本办法所称创业投资基金,是指主要投资于未上市创业企业普通股或者依法可转换为普通股的优先股、可转换债券等权益的股权投资基金。
Article 35: Venture capital funds are encouraged and guided to invest in micro and small enterprises in the early period after their establishment.
第三十五条 鼓励和引导创业投资基金投资创业早期的小微企业。
The scope of investment of venture capital funds that enjoy state fiscal and tax support policies shall comply with relevant state provisions.
享受国家财政税收扶持政策的创业投资基金,其投资范围应当符合国家相关规定。
Article 36: At stages such as fund manager registration, fund record filing, investment situation reporting requirements and member management, AMAC shall carry out industry self-regulation of venture capital funds that differs from that for other Private Funds, and provide them with differentiated member services.
第三十六条 基金业协会在基金管理人登记、基金备案、投资情况报告要求和会员管理等环节,对创业投资基金采取区别于其他私募基金的差异化行业自律,并提供差异化会员服务。
Article 37: At stages such as inspection of the investment orientation of venture capital funds, the CSRC and its agencies shall exercise regulation that differs from that for other Private Funds, and in terms of account opening, offering, trading and divestment, shall provide facilitating services for venture capital funds.
第三十七条 中国证监会及其派出机构对创业投资基金在投资方向检查等环节,采取区别于其他私募基金的差异化监督管理;在账户开立、发行交易和投资退出等方面,为创业投资基金提供便利服务。
Part Nine: Legal liability
第九章 法律责任
Article 38: If a Private Fund manager, Private Fund Custodian, Private Fund Seller or other private offer service institution or any of its business personnel violates Article 7, 8, 11, 14 to 17 or 24 to 26 hereof or commits any of the acts set forth in Items (1) to (7) or (9) of Article 23 hereof, it/he/she shall be ordered to rectify the matter, given a warning and fined up to Rmb30,000, and the managing officer directly in charge and other directly responsible persons shall be given a warning and fined up to Rmb30,000. If a Private Fund manager, Private Fund Custodian, Private Fund Seller or other private offer service institution or any of its business personnel commits the act set forth in Item (8) of Article 23 hereof, it/he/she shall be penalised in accordance with relevant provisions of the Securities Law and the Regulations for the Administration of Futures Trading (Revised). If a criminal offence is constituted, the case shall be transferred to the judicial authority for pursuit of criminal liability in accordance with the law.
第三十八条 私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构及其从业人员违反本办法第七条、第八条、第十一条、第十四条至第十七条、第二十四条至第二十六条规定的,以及有本办法第二十三条第一项至第七项和第九项所列行为之一的,责令改正,给予警告并处三万元以下罚款;对直接负责的主管人员和其他直接责任人员,给予警告并处三万元以下罚款;有本办法第二十三条第八项行为的,按照《证券法》和《期货交易管理条例(修订)》的有关规定处罚;构成犯罪的,依法移交司法机关追究刑事责任。
Article 39: If a Private Fund manager, Private Fund Custodian, Private Fund Seller or other private offer service institution or any of its business personnel violates a law, a set of regulations or these Measures, and the circumstances thereof are serious, the CSRC may bar the relevant responsible persons from the market.
第三十九条 私募基金管理人、私募基金托管人、私募基金销售机构及其他私募服务机构及其从业人员违反法律法规和本办法规定,情节严重的,中国证监会可以依法对有关责任人员采取市场禁入措施。
Article 40: If a privately offered securities investment fund manager or any of its business personnel violates relevant provisions of the Securities Investment Fund Law, it/he/she shall be penalised in accordance with the relevant provisions of the Securities Investment Fund Law.
第四十条 私募证券基金管理人及其从业人员违反《证券投资基金法》有关规定的,按照《证券投资基金法》有关规定处罚。

Article 41: These Measures shall be effective as of the date of promulgation.
