网络交易管理办法

When an online merchant sells its goods, consumers have the right to return the goods within seven days from the date of receipt thereof, no questions asked.

Part One: General provisions

第一章 总 则

Article 1: These Measures have been formulated pursuant to laws and regulations such as the Law on the Protection of the Rights and Interests of Consumers, Product Quality Law, Anti-unfair Competition Law, Contract Law, Trademark Law, Advertising Law, Tort Liability Law and Electronic Signature Law in order to regulate the online trading of goods and the provision of related services, protect the lawful rights and interests of consumers and business operators, and promote the sustained healthy development of the online economy.

第一条 为规范网络商品交易及有关服务,保护消费者和经营者的合法权益,促进网络经济持续健康发展,依据《消费者权益保护法》、《产品质量法》、《反不正当竞争法》、《合同法》、《商标法》、《广告法》、《侵权责任法》和《电子签名法》等法律、法规,制定本办法。

Article 2: Parties engaging in the online trading of goods and the provision of related services shall comply with the laws and regulations of the People's Republic of China and these Measures.

第二条 在中华人民共和国境内从事网络商品交易及有关服务,应当遵守中华人民共和国法律、法规和本办法的规定。

Article 3: For the purposes of these Measures, the term “online trading of goods” means the business activity of selling goods or providing services over the internet (including the mobile internet).

第三条 本办法所称网络商品交易,是指通过互联网(含移动互联网)销售商品或者提供服务的经营活动。

For the purposes of these Measures, the term “related services” means for-profit services provided for the online trading of goods, such as third party trading platforms, publicity and promotion, credibility rating, payment and settlement, logistics, courier delivery, online access, server hosting, virtual space leasing, and design and production of websites and web pages.

本办法所称有关服务,是指为网络商品交易提供第三方交易平台、宣传推广、信用评价、支付结算、物流、快递、网络接入、服务器托管、虚拟空间租用、网站网页设计制作等营利性服务。

Article 4: Parties engaging in the online trading of goods or the provision of related services shall comply with the principles of free will, fairness and good faith, and with commercial ethics, public order and good social customs.

第四条 从事网络商品交易及有关服务应当遵循自愿、公平、诚实信用的原则,遵守商业道德和公序良俗。

Article 5: Online merchants and providers of related services are encouraged to, and supported in, innovate/innovating business models, enhance/enhancing the level of their services and promote/promoting the growth of the online economy.

第五条 鼓励支持网络商品经营者、有关服务经营者创新经营模式,提升服务水平,推动网络经济发展。

Article 6: Online merchants and providers of related services are encouraged to, and supported in, establish(ing) industry organisations, establish(ing) industry conventions, promote/promoting the building of industry reliability, strengthen(ing) industry self-regulation and promote/promoting compliant development of the industry.

第六条 鼓励支持网络商品经营者、有关服务经营者成立行业组织,建立行业公约,推动行业信用建设,加强行业自律,促进行业规范发展。

Part Two: Obligations of online merchants and providers of related services

第二章 网络商品经营者和有关服务经营者的义务

Section One: General provisions

第一节 一般性规定

Article 7: Business operators that engage in the online trading of goods or the provision of related services shall carry out business registration in accordance with the law.

第七条 从事网络商品交易及有关服务的经营者,应当依法办理工商登记。

A natural person who engages in the online trading of goods shall carry on his/her business activities on a third party trading platform, and provide his/her true identity information, such as his/her name, address, valid identity document and valid contact information, to the third party trading platform. If he/she satisfies registration conditions, he/she shall carry out business registration in accordance with the law.

从事网络商品交易的自然人,应当通过第三方交易平台开展经营活动,并向第三方交易平台提交其姓名、地址、有效身份证明、有效联系方式等真实身份信息。具备登记注册条件的,依法办理工商登记。

If the goods sold or services provided by a business operator engaging in the online trading of goods or the provision of related services require the securing of administrative permission as specified in laws, administrative regulations or State Council decisions, such administrative permission shall be secured in accordance with the law.

从事网络商品交易及有关服务的经营者销售的商品或者提供的服务属于法律、行政法规或者国务院决定规定应当取得行政许可的,应当依法取得有关许可。

Article 8: A legal person, other economic organisation or sole/family proprietor that has carried out registration with, and collected its business licence from, the administration for industry and commerce and that engages in the online trading of goods or the provision of related services shall post the particulars recorded on its business licence or a link to its business licence in a prominent position on the homepage of its website or the main page on which it conducts its business activities.

第八条 已经工商行政管理部门登记注册并领取营业执照的法人、其他经济组织或者个体工商户,从事网络商品交易及有关服务的,应当在其网站首页或者从事经营活动的主页面醒目位置公开营业执照登载的信息或者其营业执照的电子链接标识。

Article 9: Goods and services that are traded online shall be in compliance with laws, regulations and rules. A business operator may not trade online goods or services the trading of which is prohibited by laws or regulations.

第九条 网上交易的商品或者服务应当符合法律、法规、规章的规定。法律、法规禁止交易的商品或者服务,经营者不得在网上进行交易。

Article 10: When an online merchant sells goods or provides services to consumers, it shall comply with laws, regulations and rules such as the Law on the Protection of the Rights and Interests of Consumers and the Product Quality Law, and may not prejudice the lawful rights and interests of consumers.

第十条 网络商品经营者向消费者销售商品或者提供服务,应当遵守《消费者权益保护法》和《产品质量法》等法律、法规、规章的规定,不得损害消费者合法权益。

Article 11: When an online merchant sells goods or provides services to consumers, it shall provide to consumers information such as its business address and contact information, the quantity, quality and price of, or charge for, the goods or services, the time limit for, and method of, performance, forms of payment, methods of returning and exchanging goods, safety instructions, risk warnings, after-sales services and civil liability, take security measures to ensure the security and reliability of transactions and provide the goods or services as undertaken.

第十一条 网络商品经营者向消费者销售商品或者提供服务,应当向消费者提供经营地址、联系方式、商品或者服务的数量和质量、价款或者费用、履行期限和方式、支付形式、退换货方式、安全注意事项和风险警示、售后服务、民事责任等信息,采取安全保障措施确保交易安全可靠,并按照承诺提供商品或者服务。

Article 12: When an online merchant sells goods or provides services, it shall ensure the integrity of the goods or services, may not unreasonably break goods or services up into smaller parts for sale, may not set minimum consumption rates or otherwise charge unreasonable charges.

第十二条 网络商品经营者销售商品或者提供服务,应当保证商品或者服务的完整性,不得将商品或者服务不合理拆分出售,不得确定最低消费标准或者另行收取不合理的费用。

Article 13: When an online merchant sells goods or provides services, it shall issue to consumers an invoice or other such proof of purchase or service document in accordance with relevant state provisions or commercial practice; with the consent of consumers, it may provide the same in electronic format. Proofs of purchase or service documents in electronic format may serve as the basis for handling consumer complaints.

第十三条 网络商品经营者销售商品或者提供服务,应当按照国家有关规定或者商业惯例向消费者出具发票等购货凭证或者服务单据;征得消费者同意的,可以以电子化形式出具。电子化的购货凭证或者服务单据,可以作为处理消费投诉的依据。

If a consumer requests an invoice or other such proof of purchase or service document, the online merchant must issue one.

消费者索要发票等购货凭证或者服务单据的,网络商品经营者必须出具。

Article 14: The information provided by online merchants and providers of related services on their goods or services shall be true and accurate, and they may not carry out false publicity or make false representations.

第十四条 网络商品经营者、有关服务经营者提供的商品或者服务信息应当真实准确,不得作虚假宣传和虚假表示。

Article 15: When selling goods or providing services, an online merchant or provider of related services shall comply with laws, regulations and rules such as the Trademark Law and the Provisions for the Administration of the Registration of Enterprise Names, and may not infringe others' rights, such as their exclusive right to use a trademark or right to an enterprise name.

第十五条 网络商品经营者、有关服务经营者销售商品或者提供服务,应当遵守《商标法》、《企业名称登记管理规定》等法律、法规、规章的规定,不得侵犯他人的注册商标专用权、企业名称权等权利。

Article 16: When an online merchant sells goods, the consumer shall have the right to return the same with no questions asked, within seven days from the date of receipt thereof, the following goods excepted:

第十六条 网络商品经营者销售商品,消费者有权自收到商品之日起七日内退货,且无需说明理由,但下列商品除外:

(1) goods made to order for the consumer;

(一)消费者定作的;

(2) fresh, live or perishable goods;

(二)鲜活易腐的;

(3) digital goods, such as audio and video recordings and computer software, that have been downloaded or the packaging of which the consumer has opened; and

(三)在线下载或者消费者拆封的音像制品、计算机软件等数字化商品;

(4) delivered newspapers or periodicals;

(四)交付的报纸、期刊。

In addition to the goods set forth in the preceding paragraph, return with no questions asked shall not apply to other goods that, by virtue of their nature, the consumer confirmed were not returnable at the time of purchase.

除前款所列商品外,其他根据商品性质并经消费者在购买时确认不宜退货的商品,不适用无理由退货。

Goods returned by a consumer shall be in good condition. The online merchant shall refund the price of the goods paid by the consumer within seven days from the date of receipt of the returned goods. The shipping charges for the return of the goods shall be borne by the consumer, unless otherwise agreed by the online merchant and the consumer, in which case such agreement shall apply.

消费者退货的商品应当完好。网络商品经营者应当自收到退回商品之日起七日内返还消费者支付的商品价款。退回商品的运费由消费者承担;网络商品经营者和消费者另有约定的,按照约定。

Article 17: If an online merchant or provider of related services uses standard contract clauses in its business activities, the same shall comply with laws, regulations and rules, determine the rights and obligations of both parties to the transaction based on the principle of fairness, highlight for consumers' attention the clauses that are of material interest to consumers and shall be explained upon request by the consumer.

第十七条 网络商品经营者、有关服务经营者在经营活动中使用合同格式条款的,应当符合法律、法规、规章的规定,按照公平原则确定交易双方的权利与义务,采用显著的方式提请消费者注意与消费者有重大利害关系的条款,并按照消费者的要求予以说明。

An online merchant or provider of related services may not set forth provisions, by way of standard contract clauses, etc., that are unfair to consumers or unreasonable, such as provisions that deny or restrict consumers' rights, reduce the business operator's liability or release it from liability, or increase the liability of consumers, and may not employ standard contract clauses together with technical means to compel transactions.

网络商品经营者、有关服务经营者不得以合同格式条款等方式作出排除或者限制消费者权利、减轻或者免除经营者责任、加重消费者责任等对消费者不公平、不合理的规定,不得利用合同格式条款并借助技术手段强制交易。

Article 18: If an online merchant or provider of related services collects and uses consumers' or business operators' information in its business activities, it shall comply with the principles of lawfulness, legitimacy and necessity, expressly state its objectives for, and method and scope of, collection and use of the information, and secure the consent of the parties whose information is being collected. An online merchant or provider of related services that collects and uses consumers' or business operators' information shall disclose its rules for the collection and use thereof, and may not collect and use information in violation of laws or regulations or in breach of the agreement between the parties.

第十八条 网络商品经营者、有关服务经营者在经营活动中收集、使用消费者或者经营者信息,应当遵循合法、正当、必要的原则,明示收集、使用信息的目的、方式和范围,并经被收集者同意。网络商品经营者、有关服务经营者收集、使用消费者或者经营者信息,应当公开其收集、使用规则,不得违反法律、法规的规定和双方的约定收集、使用信息。

An online merchant or provider of related services and its working personnel must strictly maintain the confidentiality of the collected personal information of consumers or the data and information on the trade secrets of business operators, and may not disclose, sell or illegally provide the same to third parties. An online merchant or provider of related services shall take technical and other necessary measures to ensure the security of information and prevent the disclosure and loss of information. Where information has been or could be divulged or lost, it shall promptly take remedial measures.

网络商品经营者、有关服务经营者及其工作人员对收集的消费者个人信息或者经营者商业秘密的数据信息必须严格保密,不得泄露、出售或者非法向他人提供。网络商品经营者、有关服务经营者应当采取技术措施和其他必要措施,确保信息安全,防止信息泄露、丢失。在发生或者可能发生信息泄露、丢失的情况时,应当立即采取补救措施。

An online merchant or provider of related services may not send electronic information of a commercial nature to a consumer without his/her consent or request, or if he/she has expressly indicated that he/she does not wish to receive the same.

网络商品经营者、有关服务经营者未经消费者同意或者请求,或者消费者明确表示拒绝的,不得向其发送商业性电子信息。

Article 19: When selling goods or offering services, an online merchant or provider of related services shall comply with laws such as the Anti-unfair Competition Law, and may not prejudice the lawful rights and interests of other business operators or disrupt the social or economic order through the use of unfair competition means. Additionally, it may not use network technology means or media to carry out the following acts of unfair competition:

第十九条 网络商品经营者、有关服务经营者销售商品或者服务,应当遵守《反不正当竞争法》等法律的规定,不得以不正当竞争方式损害其他经营者的合法权益、扰乱社会经济秩序。同时,不得利用网络技术手段或者载体等方式,从事下列不正当竞争行为:

(1) using the proprietary domain name, name or logo of a well-known website without authorisation or using a domain name, name or logo similar to that of a well-known website to confuse it with another's well-known website, thereby causing consumers to mistake the two;

(一)擅自使用知名网站特有的域名、名称、标识或者使用与知名网站近似的域名、名称、标识,与他人知名网站相混淆,造成消费者误认;

(2) using without authorisation or forging the electronic logo of a government department or association and carrying out false publicity that causes misunderstanding by people;

(二)擅自使用、伪造政府部门或者社会团体电子标识,进行引人误解的虚假宣传;

(3) using virtual goods as prizes to carry out sales with the drawing of the prizes where the specified value of the virtual goods on the online market exceeds the limit permitted by laws and regulations;

(三)以虚拟物品为奖品进行抽奖式的有奖销售,虚拟物品在网络市场约定金额超过法律法规允许的限额;

(4) enhancing its or another's commercial reputation through means such as fabricated transactions or deletion of unfavourable comments;

(四)以虚构交易、删除不利评价等形式,为自己或他人提升商业信誉;

(5) harming the commercial reputation of a competitor by way of a malicious evaluation that runs counter to the facts after a transaction has been reached; or

(五)以交易达成后违背事实的恶意评价损害竞争对手的商业信誉;

(6) another act of unfair competition as specified in laws or regulations.

(六)法律、法规规定的其他不正当竞争行为。

Article 20: An online merchant or provider of related services may not carry out an illegal technological attack on the website or web page of a competitor, making it impossible for such competitor to carry on its business in a normal manner.

第二十条 网络商品经营者、有关服务经营者不得对竞争对手的网站或者网页进行非法技术攻击,造成竞争对手无法正常经营。

Article 21: An online merchant or provider of related services shall submit business statistics information to the local administration for industry and commerce in accordance with provisions of the State Administration for Industry and Commerce.

第二十一条 网络商品经营者、有关服务经营者应当按照国家工商行政管理总局的规定向所在地工商行政管理部门报送经营统计资料。

Section Two: Special provisions for third party trading platform operators

第二节 第三方交易平台经营者的特别规定

Article 22: A third party trading platform operator shall be an enterprise with legal personality that has been registered with, and secured a business licence from, the administration for industry and commerce.

第二十二条 第三方交易平台经营者应当是经工商行政管理部门登记注册并领取营业执照的企业法人。

For the purposes of the preceding paragraph, the term “third party trading platform” means an information network system that, in the course of the online trading of goods, provides for both or more trading parties web page space, virtual place of business, trading rules, trade brokering, information publishing and other such services for them to independently carry out their trading activities.

前款所称第三方交易平台,是指在网络商品交易活动中为交易双方或者多方提供网页空间、虚拟经营场所、交易规则、交易撮合、信息发布等服务,供交易双方或者多方独立开展交易活动的信息网络系统。

Article 23: A third party trading platform operator shall examine and record the operational entity identity of a legal person, other economic organisation or sole/family proprietorship that applies for access to its platform to sell goods or offer services, create a registration dossier, regularly verify and update the same and, in a prominent location on the main page on which it conducts its business activities, disclose the particulars recorded on its business licence or post a link to its business licence.

第二十三条 第三方交易平台经营者应当对申请进入平台销售商品或者提供服务的法人、其他经济组织或者个体工商户的经营主体身份进行审查和登记,建立登记档案并定期核实更新,在其从事经营活动的主页面醒目位置公开营业执照登载的信息或者其营业执照的电子链接标识。

A third party trading platform operator shall examine and record the true identity information of a natural person who does not yet satisfy the conditions for business registration and has applied for access to its platform to sell goods or offer services, create a registration dossier, regularly verify and update the same and issue a symbol evidencing that his/her personal identity information is true and lawful, which symbol it shall place in a prominent location on the main page on which he/she conducts his/her business activities.

第三方交易平台经营者应当对尚不具备工商登记注册条件、申请进入平台销售商品或者提供服务的自然人的真实身份信息进行审查和登记,建立登记档案并定期核实更新,核发证明个人身份信息真实合法的标记,加载在其从事经营活动的主页面醒目位置。

When conducting an examination and registration, the third party trading platform operator shall procure the familiarity with, and consent to, the registration agreement by the other party and bring to the attention of such party the clauses on its/his/her obligations and liability.

第三方交易平台经营者在审查和登记时,应当使对方知悉并同意登记协议,提请对方注意义务和责任条款。

Article 24: A third party trading platform operator shall enter into an agreement with a business operator that applies for access to its platform to sell goods or offer services that specifies both parties' rights, obligations and liability in respect of access to and withdrawal from the platform, assurance of the quality and safety of the goods or services, protection of the rights and interests of consumers, etc.

第二十四条 第三方交易平台经营者应当与申请进入平台销售商品或者提供服务的经营者订立协议,明确双方在平台进入和退出、商品和服务质量安全保障、消费者权益保护等方面的权利、义务和责任。

In the event that a third party trading platform operator revises the agreement with the business operators on its platform or the trading rules, it shall do so in keeping with the principles of transparency, continuity and reasonableness, and the revised provisions shall be posted and the relevant business operators notified thereof at least seven days in advance. If the revised provisions of the agreement or rules are not acceptable to a business operator on the platform and it/he/she applies to withdraw from the platform, the third party trading platform operator shall permit it/him/her to do so and bear the relevant liability in accordance with the original agreement or trading rules.

第三方交易平台经营者修改其与平台内经营者的协议、交易规则,应当遵循公开、连续、合理的原则,修改内容应当至少提前七日予以公示并通知相关经营者。平台内经营者不接受协议或者规则修改内容、申请退出平台的,第三方交易平台经营者应当允许其退出,并根据原协议或者交易规则承担相关责任。

Article 25: A third party trading platform operator shall establish administrative rules and regulations in respect of platform trading rules, trading security assurance, consumer right and interest protection and harmful information handling. All such administrative rules and regulations shall be displayed on its website, and the convenient and integral consultation and saving thereof by users shall be ensured by technical means.

第二十五条 第三方交易平台经营者应当建立平台内交易规则、交易安全保障、消费者权益保护、不良信息处理等管理制度。各项管理制度应当在其网站显示,并从技术上保证用户能够便利、完整地阅览和保存。

A third party trading platform operator shall take the necessary technical means and management measures to ensure that the platform operates normally, and provide the necessary and reliable trading environment and trading services so as to safeguard the online trading order.

第三方交易平台经营者应当采取必要的技术手段和管理措施保证平台的正常运行,提供必要、可靠的交易环境和交易服务,维护网络交易秩序。

Article 26: A third party trading platform operator shall establish an inspection and monitoring system for the business operators that sell goods or offer services on its platform and the information on their goods or services that they publish. If it discovers an act that violates industry and commerce administration laws, regulations or rules, it shall report the same to the administration for industry and commerce of the place where it is located and, in a timely manner, take measures to put a halt to the same. When necessary it may cease providing the third party trading platform services to the business operator in question.

第二十六条 第三方交易平台经营者应当对通过平台销售商品或者提供服务的经营者及其发布的商品和服务信息建立检查监控制度,发现有违反工商行政管理法律、法规、规章的行为的,应当向平台经营者所在地工商行政管理部门报告,并及时采取措施制止,必要时可以停止对其提供第三方交易平台服务。

If the administration for industry and commerce discovers an act that violates industry and commerce administration laws, regulations or rules on the platform, it shall demand in accordance with the law that the third party trading platform operator take measures to put a halt to the same, and the third party trading platform operator shall offer its cooperation.

工商行政管理部门发现平台内有违反工商行政管理法律、法规、规章的行为,依法要求第三方交易平台经营者采取措施制止的,第三方交易平台经营者应当予以配合。

Article 27: A third party trading platform operator shall take the necessary measures to protect the exclusive rights to use registered trademarks, enterprise name rights and other such rights and, in respect of an infringement of a rights holder's exclusive right to use its/his/her registered trademark, enterprise name right or other such right, or other act of unfair competition that infringes its/his/her lawful rights and interests for which it/he/she has evidence showing that a business operator on the platform has committed, the third party trading platform operator shall take the necessary measures in accordance with the Tort Liability Law.

第二十七条 第三方交易平台经营者应当采取必要手段保护注册商标专用权、企业名称权等权利,对权利人有证据证明平台内的经营者实施侵犯其注册商标专用权、企业名称权等权利的行为或者实施损害其合法权益的其他不正当竞争行为的,应当依照《侵权责任法》采取必要措施。

Article 28: A third party trading platform operator shall establish a self regulation system for consumer dispute settlement and consumer rights protection. When, in the course of a consumer buying goods or accepting a service on the platform, a consumer dispute arises or his/her lawful rights and interests are prejudiced and he/she requests that the platform mediate, the platform shall do so. If the consumer seeks to protect his/her rights by other means, the platform shall provide to him/her the true website registration information of the business operator and actively assist the consumer in protecting his/her lawful rights and interests.

第二十八条 第三方交易平台经营者应当建立消费纠纷和解和消费维权自律制度。消费者在平台内购买商品或者接受服务,发生消费纠纷或者其合法权益受到损害时,消费者要求平台调解的,平台应当调解;消费者通过其他渠道维权的,平台应当向消费者提供经营者的真实的网站登记信息,积极协助消费者维护自身合法权益。

Article 29: If a third party trading platform operator itself deals in goods or offers services on its platform, it shall distinguish and mark the portion it itself operates and the portion operated by other business operators in a prominent manner so as to avoid misunderstanding by consumers.

第二十九条 第三方交易平台经营者在平台上开展商品或者服务自营业务的,应当以显著方式对自营部分和平台内其他经营者经营部分进行区分和标记,避免消费者产生误解。

Article 30: A third party trading platform operator shall examine, record and keep the contents of information on goods and services published on its platform and the time of publication. The record of the business licence or of the true personal identity information of a business operator on the platform shall be kept for not less than two years from the date of cancellation of the business operator's registration on the platform, and backup copies of transaction records and other such information and records shall be kept for not less than two years from the date on which the transaction was completed.

第三十条 第三方交易平台经营者应当审查、记录、保存在其平台上发布的商品和服务信息内容及其发布时间。平台内经营者的营业执照或者个人真实身份信息记录保存时间从经营者在平台的登记注销之日起不少于两年,交易记录等其他信息记录备份保存时间从交易完成之日起不少于两年。

A third party trading platform operator shall take technical measures such as electronic signatures, data backups and failure recovery to ensure the integrity and security of online trading data and information, and ensure the genuineness of raw data.

第三方交易平台经营者应当采取电子签名、数据备份、故障恢复等技术手段确保网络交易数据和资料的完整性和安全性,并应当保证原始数据的真实性。

Article 31: If a third party trading platform operator intends to cease providing third party trading platform services, it shall announce the same in a prominent location on the main page of its website and notify relevant business operators and consumers thereof not less than three months in advance and take the necessary measures to protect the lawful rights and interests of the relevant business operators and consumers.

第三十一条 第三方交易平台经营者拟终止提供第三方交易平台服务的,应当至少提前三个月在其网站主页面醒目位置予以公示并通知相关经营者和消费者,采取必要措施保障相关经营者和消费者的合法权益。

Article 32: Third party trading platform operators are encouraged to provide a fair and impartial credibility rating service for parties involved in transactions, objectively and impartially collect and record information on the credibility of business operators, and establish a credibility rating system and credibility disclosure system to provide warning of trading risks.

第三十二条 鼓励第三方交易平台经营者为交易当事人提供公平、公正的信用评价服务,对经营者的信用情况客观、公正地进行采集与记录,建立信用评价体系、信用披露制度以警示交易风险。

Article 33: Third party trading platform operators are encouraged to establish consumer protection deposits. Such consumer protection deposits shall be used for the protection of the rights and interests of consumers, and may not be diverted to other purposes. Details of the use thereof shall be disclosed on a regular basis.

第三十三条 鼓励第三方交易平台经营者设立消费者权益保证金。消费者权益保证金应当用于对消费者权益的保障,不得挪作他用,使用情况应当定期公开。

If an agreement is reached between a third party trading platform operator and a business operator to establish a consumer protection deposit, the parties shall expressly provide for the amount allocated to, and the method of managing, using and refunding, the consumer protection deposit.

第三方交易平台经营者与平台内的经营者协议设立消费者权益保证金的,双方应当就消费者权益保证金提取数额、管理、使用和退还办法等作出明确约定。

Article 34: A third party trading platform operator shall actively assist the administration for industry and commerce in investigating and dealing with illegal online business acts, provide such information as the registration particulars and transaction data of the business operator suspected of operating in an illegal manner on the platform and may not conceal the true circumstances.

第三十四条 第三方交易平台经营者应当积极协助工商行政管理部门查处网上违法经营行为,提供在其平台内涉嫌违法经营的经营者的登记信息、交易数据等资料,不得隐瞒真实情况。

Section Three: Other special provisions for providers of related services

第三节 其他有关服务经营者的特别规定

Article 35: A provider of related services that provides services for the online trading of goods such as online access, server hosting, virtual space leasing, and website and web page design and production shall require applicants to provide proof of business qualifications and true personal identity information, execute service contracts therewith and record, in accordance with the law, information on their online access. Backup copies of information and records of an applicant such as its business licence or his/her true personal identity information shall be kept for not less than two years from the date of termination or completion of performance of the service contract.

第三十五条 为网络商品交易提供网络接入、服务器托管、虚拟空间租用、网站网页设计制作等服务的有关服务经营者,应当要求申请者提供经营资格证明和个人真实身份信息,签订服务合同,依法记录其上网信息。申请者营业执照或者个人真实身份信息等信息记录备份保存时间自服务合同终止或者履行完毕之日起不少于两年。

Article 36: A provider of related services that provides credibility rating services for the online trading of goods shall collect credibility information by lawful means, adhere to the principles of neutrality, impartiality and objectivity, and may not revise at its own discretion the credibility rating or related information of users, or use collected credibility information for any illegal purpose.

第三十六条 为网络商品交易提供信用评价服务的有关服务经营者,应当通过合法途径采集信用信息,坚持中立、公正、客观原则,不得任意调整用户的信用级别或者相关信息,不得将收集的信用信息用于任何非法用途。

Article 37: To provide publicity and promotional services for the online trading of goods, relevant laws, regulations and rules shall be complied with.

第三十七条 为网络商品交易提供宣传推广服务应当符合相关法律、法规、规章的规定。

If publicity and promotional services are provided or goods or services are evaluated on social media such as blogs and microblogs and remuneration is received therefor, the nature thereof shall be truthfully disclosed so as to avoid misunderstanding by consumers.

通过博客、微博等网络社交载体提供宣传推广服务、评论商品或者服务并因此取得酬劳的,应当如实披露其性质,避免消费者产生误解。

Article 38: A provider of related services that provides services such as online access, payment and settlement, logistics or courier delivery for the online trading of goods shall actively assist the administration for industry and commerce in investigating and dealing with illegal acts relating to the online trading of goods, provide the registration particulars, contact information, address and other such relevant data and information of the online merchant suspected of operating in an illegal manner, and may not conceal true circumstances.

第三十八条 为网络商品交易提供网络接入、支付结算、物流、快递等服务的有关服务经营者,应当积极协助工商行政管理部门查处网络商品交易相关违法行为,提供涉嫌违法经营的网络商品经营者的登记信息、联系方式、地址等相关数据资料,不得隐瞒真实情况。

Part Three: Regulation of the online trading of goods and the provision of related services

第三章 网络商品交易及有关服务监督管理

Article 39: The administration for industry and commerce at the county level or above shall be responsible for the regulation of the online trading of goods and the provision of related services.

第三十九条 网络商品交易及有关服务的监督管理由县级以上工商行政管理部门负责。

Article 40: The administration for industry and commerce at the county level or above shall establish integrity files for the online trading of goods and the provision of related services, and keep records of the results of routine monitoring inspections and the outcome of the investigation and handling of violations of the law. It shall, based on the records in the integrity files, regulate online merchants and providers of related services in a manner consistent with their credibility classification.

第四十条 县级以上工商行政管理部门应当建立网络商品交易及有关服务信用档案,记录日常监督检查结果、违法行为查处等情况。根据信用档案的记录,对网络商品经营者、有关服务经营者实施信用分类监管。

Article 41: The administration for industry and commerce at the county level or above where the business operator that has committed a violation of the law in connection with the online trading of goods or the provision of related services is domiciled shall have jurisdiction over such violation. Where the business operator carries on its business operations on a third party trading platform, the administration for industry and commerce at the county level or above where the third party online platform provider is domiciled shall have jurisdiction over the violation. Where the administration for industry and commerce at the county level or above where the third party online platform provider is domiciled would have difficulty exercising jurisdiction over an offender that is located elsewhere, it may transfer the information on the violation by the offender to the administration for industry and commerce at the county level or above where the offender is located for handling.

第四十一条 网络商品交易及有关服务违法行为由发生违法行为的经营者住所所在地县级以上工商行政管理部门管辖。对于其中通过第三方交易平台开展经营活动的经营者,其违法行为由第三方交易平台经营者住所所在地县级以上工商行政管理部门管辖。第三方交易平台经营者住所所在地县级以上工商行政管理部门管辖异地违法行为人有困难的,可以将违法行为人的违法情况移交违法行为人所在地县级以上工商行政管理部门处理。

Where a dispute over jurisdiction arises between two or more administrations for industry and commerce concerning a violation of the law in connection with the online trading of goods or the provision of related services, they shall refer the same to their common higher level administration for industry and commerce for the designation of jurisdiction.

两个以上工商行政管理部门因网络商品交易及有关服务违法行为的管辖权发生争议的,应当报请共同的上一级工商行政管理部门指定管辖。

With respect to a violation of the law in connection with the online trading of goods or the provision of related services that has a material impact on a national scale, grossly prejudices the rights and interests of consumers, triggers a large number of complaints or the facts of which are complicated, the State Administration for Industry and Commerce shall be responsible for the investigation and handling thereof or it shall designate the provincial-level administration for industry and commerce to take responsibility for the investigation and handling thereof.

对于全国范围内有重大影响、严重侵害消费者权益、引发群体投诉或者案情复杂的网络商品交易及有关服务违法行为,由国家工商行政管理总局负责查处或者指定省级工商行政管理局负责查处。

Article 42: If a consumer lodges a complaint with the administration for industry and commerce in the course of activities connected with the online trading of goods or the provision of related services, the same shall be dealt with in accordance with the Measures for the Handling of Consumer Complaints by Administrations for Industry and Commerce.

第四十二条 网络商品交易及有关服务活动中的消费者向工商行政管理部门投诉的,依照《工商行政管理部门处理消费者投诉办法》处理。

Article 43: The administration for industry and commerce at the county level or above may exercise the following functions and powers when investigating and dealing with a suspected violation of the law in the online trading of goods or the provision of related services:

第四十三条 县级以上工商行政管理部门对涉嫌违法的网络商品交易及有关服务行为进行查处时,可以行使下列职权:

(1) questioning the relevant party in question, and investigating relevant details of its suspected violation of the law in the online trading of goods or the provision of related services;

(一)询问有关当事人,调查其涉嫌从事违法网络商品交易及有关服务行为的相关情况;

(2) reviewing and taking copies of the party's transaction data, contracts, vouchers, books and other relevant data and information;

(二)查阅、复制当事人的交易数据、合同、票据、账簿以及其他相关数据资料;

(3) placing under seal or seizing in accordance with laws and regulations articles used in committing the violation of the law in connection with the online trading of goods or provision of related services such as goods, tools and equipment and placing under seal the place of business used in committing the violation of the law in connection with the online trading of goods or provision of related services; and

(三)依照法律、法规的规定,查封、扣押用于从事违法网络商品交易及有关服务行为的商品、工具、设备等物品,查封用于从事违法网络商品交易及有关服务行为的经营场所;

(4) other measures that may be taken as provided in laws and regulations.

(四)法律、法规规定可以采取的其他措施。

When the administration for industry and commerce lawfully exercises the functions and powers set forth in the preceding paragraph, the party in question shall offer its assistance and cooperation, and may not refuse or interfere.

工商行政管理部门依法行使前款规定的职权时,当事人应当予以协助、配合,不得拒绝、阻挠。

Article 44: The administration for industry and commerce may make use of technical monitoring records of and information on activities connected with the online trading of goods and the provision of related services as the electronic data evidence for imposing administrative penalties on, or taking administrative measures against, an online merchant or provider of related services that has committed a violation of the law.

第四十四条 工商行政管理部门对网络商品交易及有关服务活动的技术监测记录资料,可以作为对违法的网络商品经营者、有关服务经营者实施行政处罚或者采取行政措施的电子数据证据。

Article 45: If a provision of an industry and commerce administration law or set of regulations is violated in the course of activities relating to the online trading of goods or the provision of related services and the circumstances thereof are serious and measures need to be taken to halt the offending website from continuing to commit the illegal activities, the administration for industry and commerce may, in accordance with relevant provisions, request that the telecommunications administration department of the place where the website has been licensed or placed on the record to order in accordance with the law the temporary masking of the offending website or halting the access service thereto.

第四十五条 在网络商品交易及有关服务活动中违反工商行政管理法律法规规定,情节严重,需要采取措施制止违法网站继续从事违法活动的,工商行政管理部门可以依照有关规定,提请网站许可或者备案地通信管理部门依法责令暂时屏蔽或者停止该违法网站接入服务。

Article 46: If the administration for industry and commerce, after imposing administrative penalties on a website for a violation of the law, needs to shut down such offending website, it may, in accordance with relevant provisions, request that the telecommunications administration department of the place where the website has been licensed or placed on the record to shut down the offending website in accordance with the law.

第四十六条 工商行政管理部门对网站违法行为作出行政处罚后,需要关闭该违法网站的,可以依照有关规定,提请网站许可或者备案地通信管理部门依法关闭该违法网站。

Article 47: If, in the course of regulating activities relating to the online trading of goods or the provision of related services, the administration for industry and commerce discovers a violation of the law the investigation and handling of which falls within the purview of another department, its shall transfer such case to the relevant department in accordance with the law.

第四十七条 工商行政管理部门在对网络商品交易及有关服务活动的监督管理中发现应当由其他部门查处的违法行为的,应当依法移交相关部门。

Article 48: An administration for industry and commerce at the county level or above shall establish a responsibility system for the work associated with the regulation of the online trading of goods and provision of related services, and perform its duties in accordance with the law.

第四十八条 县级以上工商行政管理部门应当建立网络商品交易及有关服务监管工作责任制度,依法履行职责。

Part Four: Legal liability

第四章 法律责任

Article 49: If laws or regulations provide otherwise in respect of a violation of these Measures, such provisions shall apply.

第四十九条 对于违反本办法的行为,法律、法规另有规定的,从其规定。

Article 50: In the event of a violation of the second paragraph of Article 7, Article 23, Article 25, the second paragraph of Article 26, Article 29, Article 30, Article 34, Article 35, Article 36 or Article 38 hereof, a warning shall be issued, an order to rectify the matter shall be given, and if the offender refuses to rectify the matter, a fine of not less than Rmb10,000 and not more than Rmb30,000 shall be imposed.

第五十条 违反本办法第七条第二款、第二十三条、第二十五条、第二十六条第二款、第二十九条、第三十条、第三十四条、第三十五条、第三十六条、第三十八条规定的,予以警告,责令改正,拒不改正的,处以一万元以上三万元以下的罚款。

Article 51: In the event of a violation of Article 8 or Article 21 hereof, a warning shall be issued, an order to rectify the matter shall be given, and if the offender refuses to rectify the matter, a fine of up to Rmb10,000 shall be imposed.

第五十一条 违反本办法第八条、第二十一条规定的,予以警告,责令改正,拒不改正的,处以一万元以下的罚款。

Article 52: In the event of a violation of Article 17 hereof, penalties shall be imposed in accordance with relevant provisions of theMeasures for Monitoring and Dealing with Illegal Acts Related to Contracts.

第五十二条 违反本办法第十七条规定的,按照《合同违法行为监督处理办法》的有关规定处罚。

Article 53: In the event of a violation of Item (1) of Article 19 hereof, penalties shall be imposed in accordance with Article 21 of the Anti-unfair Competition Law; of Item (2) or (4) of Article 19 hereof, penalties shall be imposed in accordance with Article 24 of the Anti-unfair Competition Law; of Item (3) of Article 19 hereof, penalties shall be imposed in accordance with Article 26 of the Anti-unfair Competition Law; or of Item (5) of Article 19 hereof, a warning shall be issued, an order to rectify the matter shall be given and a fine of not less than Rmb10,000 and not more than Rmb30,000 shall be imposed.

第五十三条 违反本办法第十九条第(一)项规定的,按照《反不正当竞争法》第二十一条的规定处罚;违反本办法第十九条第(二)项、第(四)项规定的,按照《反不正当竞争法》第二十四条的规定处罚;违反本办法第十九条第(三)项规定的,按照《反不正当竞争法》第二十六条的规定处罚;违反本办法第十九条第(五)项规定的,予以警告,责令改正,并处一万元以上三万元以下的罚款。

Article 54: In the event of a violation of Article 20 hereof, a warning shall be issued, an order to rectify the matter shall be given and a fine of not less than Rmb10,000 and not more than Rmb30,000 shall be imposed.

第五十四条 违反本办法第二十条规定的,予以警告,责令改正,并处一万元以上三万元以下的罚款。

Part Five: Supplementary provisions

第五章 附 则

Article 55: For business activities where information on goods or for-profit services is published on a third party trading platform but the transaction process is not directly completed on the platform, the provisions hereof on the administration of the online trading of goods shall apply mutatis mutandis.

第五十五条 通过第三方交易平台发布商品或者营利性服务信息、但交易过程不直接通过平台完成的经营活动,参照适用本办法关于网络商品交易的管理规定。

Article 56: The State Administration for Industry and Commerce is in charge of interpreting these Measures.

第五十六条 本办法由国家工商行政管理总局负责解释。

Article 57: Provincial-level administrations for industry and commerce may formulate on the basis hereof implementing guiding opinions for the regulation of the online trading of goods and the provision of related services.

第五十七条 省级工商行政管理部门可以依据本办法的规定制定网络商品交易及有关服务监管实施指导意见。

Article 58: These Measures shall be effective as of March 15 2014. The Tentative Measures for the Administration of the Online Trading of Goods and the Provision of Related Services promulgated by the State Administration for Industry and Commerce on May 31 2010 shall be repealed simultaneously.

第五十八条 本办法自2014年3月15日起施行。国家工商行政管理总局2010年5月31日发布的《网络商品交易及有关服务行为管理暂行办法》同时废止。
