PRC solar wafer and products manufacturer, Renesola has made a US$175 million convertible senior notes offering. The 4.125% notes due 2018 are convertible into the issuer's American Depositary Shares (ADSs). Concurrent with the pricing of the notes, Renesola also entered into a capped call transaction covering the ADSs under the notes. The joint bookrunners were Credit Suisse and Barclays Capital.
A Latham & Watkins team, led by Hong Kong partner David Zhang and Beijing counsel Benjamin Su, advised the issuer as to Hong Kong and US law aspects. Haiwen & Partners represented Renesola on PRC law. The underwriters were counselled by Davis Polk & Wardwell and King & Wood. Harney Westwood & Riegels served at British Virgin Islands law advisers.
