第一条 为促进首都经济发展,鼓励跨国公司在京设立地区总部,根据有关法律法规,结合本市实际,制定本规定。
第二条 本规定所指跨国公司地区总部(以下简称地区总部),是指外国跨国公司以投资或授权形式在本市注册设立的,对在一个或一个以上国家行政区域内的企业行使管理和服务职能的唯一总机构。香港、澳门、台湾地区的跨国公司在本市注册设立的地区总部,参照本规定执行。
在本市设立的外资金融机构地区总部适用本市有关促进金融发展的政策规定。
第三条 对2009年1月1日以后在京新注册设立或新迁入京的,注册资本在1亿元人民币(含1亿元人民币)以上的地区总部,按注册资本金额给予不同档次资金补助,补助分3年发放。
对一次性增资达到规定档次的地区总部,按相应标准给予差额补助。
第四条 对在京新注册设立或新迁入京的地区总部租用办公用房的,连续3年给予租金补助。申请租房补助的地区总部,租用期应不少于3年;享受补助期间,不得将自用办公用房出租、转租或改变其用途;违反上述规定的,应当退还已获得的补助。本条款在朝阳区试点,由朝阳区政府负责落实,其他区县可参照执行。
第五条 对2009年1月1日以后在京新注册设立或新迁入京的地区总部及其设立的研发中心自建或购买办公用房的,可享受一次性补助。享受补助的地区总部,5年内不得对外出售、出租办公用房或改变其用途。违反上述规定的,应当退还已获得的补助。
第六条 从2009年度起,对年营业收入首次超过1亿元人民币(含1亿元人民币)以上的地区总部,按营业收入给予不同档次资金奖励,奖励分3年发放。
第七条 地区总部可依法从事投资经营决策、生产经营管理、资金运作和财务管理、技术支持与研究开发、市场营销服务、进出口及国内分销、物流配送服务、信息服务、承接跨国公司内部及境外其他公司的服务外包、员工培训与管理,以及法律、法规、规章规定可以从事的其他经营、管理和服务活动。
第八条 地区总部可建立统一的内部资金管理体系,按国家有关规定对自有资金实行统一管理。涉及外汇资金运作的,按国家外汇管理政策执行。符合条件的地区总部按有关规定可参与跨国公司外汇资金集中管理、境外放款等试点业务。投资性公司按国家关于企业集团财务公司管理办法规定,可设立财务公司,为其在中国境内的投资企业提供集中财务管理服务。
第九条 对地区总部及其设立的研发中心,海关和出入境检验检疫部门为其进出口货物提供通关便利。积极协助地区总部根据实际需要,在北京天竺综合保税区开展仓储物流、分销配送、保税加工制造、高端研发等业务。
第十条 自2009年1月1日起,对地区总部1位主要负责人以市政府名义给予奖励。该奖励政策自地区总部被认定次年起连续执行3年。
对在1个年度内实际缴纳的企业所得税地方留成部分增量名列前10名的地区总部,对其1位主要负责人以市政府名义给予奖励。
所得奖金按国家有关规定免征个人所得税。
第十一条 在地区总部连续两年以上担任副总经理以上职务或相当职务的人员,可按北京市有关吸引高级人才奖励管理规定享受奖励。
第十二条 地区总部外籍人员可享受多次出入境便利。地区总部的法定代表人、总经理、副总经理、财务总监等外籍高层管理和技术人员,可申请办理不超过5年多次入境有效的F字签证;部门经理等中层管理和技术人员,可申请办理不超过3年多次入境有效的F字签证;一般外籍员工可申请办理不超过1年多次入境有效的F字签证。上述外籍人员的外籍配偶及未成年子女,可申请与上述人员相同期限的F字签证。
受聘于地区总部的持L、X字签证入境的外籍人员,可根据需要,按上述临时入境办理条件申请F字签证。
地区总部的外籍人员急需短期来华,如未及时在我驻外使领馆办理签证的,可在首都机场口岸申请签证。
第十三条 地区总部的法定代表人、总经理、副总经理、财务总监等外籍高层管理和技术人员,需在京常住的,可申请办理有效期5年的外国人居留许可;部门经理等中层管理和技术人员,可申请办理有效期4年的外国人居留许可;一般外籍员工可申请办理有效期3年的外国人居留许可。上述外籍人员的外籍配偶及未成年子女,可申请与上述人员相同期限的外国人居留许可。以上居留许可期限不得超过其护照有效期。
地区总部的高级管理人员按有关规定可优先办理《外国人永久居留证》。
第十四条 对地区总部的中国籍员工因商务需要赴香港、澳门的,可申请办理《往来港澳通行证》和多次出入境有效的商务签注;对地区总部的中国籍员工因商务需要赴台湾的,如提供国务院台办批件和台湾地区旅行证,可优先办理《大陆居民往来台湾通行证》。
第十五条 地区总部聘用外籍人员在本市就业的,可申请一并办理外国人就业许可和《外国人就业证》。
第十六条 地区总部及其研究开发机构聘用的高级管理人员,和引进本市急需紧缺的具有硕士及以上学位或具有本科及以上学历并取得高级专业技术职称且年龄在45周岁以下的人员,可申请办理人才引进;聘用具有学士及以上学位或取得中级及以上专业技术职称的人员,可申请办理《北京市工作居住证》。
第十七条 地区总部高级管理人员的子女如需在本市入托、在中小学就读的,由地区总部所在地区县政府负责安排,提供便利。
第十八条 地区总部的外籍员工可不受在境内工作时间限制,购买符合实际需要的自住、自用商品房。
第十九条 市商务委负责在京地区总部的认定、补助奖励兑现和提供便利政策的协调落实工作,并牵头负责实行一个窗口对外服务,简化办事手续,提高工作效率和服务质量。
补助和奖励的具体办法,由市商务部门会同市发展改革、财政、税务、统计等部门另行制定。所涉及的补助或奖励1年兑现1次,由上述部门审核后,报市政府批准后实施。
第二十条 本规定自2009年1月1日起执行,执行过程中的具体问题由市商务委负责协调解决。此前发布的《北京市人民政府印发关于鼓励跨国公司在京设立地区总部若干规定的通知》(京政发〔1999〕4号)同时废止。

Article 1: These Provisions have been formulated pursuant to relevant laws and regulations and while taking into account the realities in Beijing in order to promote the development of the capital's economy and encourage multinational corporations to establish Regional Headquarters in Beijing.
Article 2: For the purposes of these Regulations, the term “Regional Headquarters of a Multinational Corporation” (Regional Headquarters) means the sole head office registered and established, by investment or authorisation, in Beijing by a foreign multinational corporation to exercise management and service functions for enterprises located in one or more state administrative jurisdictions. Regional Headquarters registered and established in Beijing by multinational corporations from Hong Kong, Macao and Taiwan shall be handled with reference to these Regulations.
Relevant policies of Beijing for promoting the development of the financial sector shall govern Regional Headquarters established in Beijing by foreign-funded financial institutions.
Article 3: Regional Headquarters with registered capital of at least Rmb100 million newly registered and established in or newly relocated to Beijing on or after January 1 2009 shall be granted funding subsidies falling within different brackets determined based on the amounts of their registered capital. Disbursement of such subsidies shall be spread over three years.
If a single increase in the capital of a Regional Headquarters reaches a specified bracket, the Regional Headquarters shall be granted a make-up subsidy at the appropriate rate.
Article 4: A Regional Headquarters newly registered and established in or newly relocated to Beijing that leases office premises shall be granted a rent subsidy for three consecutive years. When applying for a lease subsidy, the lease term shall not be less than three years. During the subsidy period, the office premises used by the Regional Headquarters may not be leased out or subleased nor may the purpose thereof be changed. In the event of a violation of the foregoing, the subsidy that has been received shall be returned. This Article shall be trialed in Chaoyang District where the Chaoyang District government shall be responsible for its implementation. Matters may be handled with reference thereto in other districts and counties.
Article 5: A Regional Headquarters newly registered and established in or newly relocated to Beijing on or after January 1 2009 and any research and development centre established thereby that itself constructs or purchases office premises shall be eligible for a one-off subsidy. A Regional Headquarters that receives such subsidy may not sell or lease its office premises to a third party or change its purpose for five years. In the event of a violation of the foregoing, the subsidy that has been received shall be returned.
Article 6: Commencing from 2009, when the annual business revenue of Regional Headquarters exceeds at least Rmb100 million for the first time, such Regional Headquarters shall be granted a monetary award falling within different brackets determined based on their business revenue. Disbursement of such award shall be spread over three years.
Article 7: A Regional Headquarters may, in accordance with the law, engage in investment and business decision making; production and business management; fund application and financial management; technical support and research and development; marketing services; import, export and domestic distribution; logistics and delivery services; information services; undertaking of services outsourced within the multinational corporation and from other companies abroad; and employee training and management, as well as other business, management and service activities that laws, regulations and rules specify that it may engage in.
Article 8: A Regional Headquarters may establish a centralised internal fund management system to centrally manage its own funds in accordance with relevant state provisions. Where application of foreign exchange funds is involved, matters shall be handled in accordance with state foreign exchange control policies. Qualified Regional Headquarters may, in accordance with relevant provisions, participate in pilot projects for the centralised management of foreign exchange funds, extension of loans abroad, etc. by multinational corporations. A company with an investment nature may, in accordance with state measures for the administration of finance companies of enterprise groups, establish a finance company to provide centralised financial management services to its investee enterprises in China.
Article 9: Customs and entry-exit inspection and quarantine departments shall facilitate the customs clearance of the imports and exports of Regional Headquarters and the research and development centres established by them. As actually required, Regional Headquarters shall be given active assistance in engaging in business such as warehousing, logistics, distribution, delivery, bonded processing and manufacturing, and cutting-edge research and development in the Beijing Tianzhu Comprehensive Bonded Area.
Article 10: Commencing from January 1 2009, one of the persons in charge of a Regional Headquarters shall be given an award in the name of the municipal government. The foregoing award policy shall apply for three consecutive years commencing from the year following the year in which a Regional Headquarters is recognised as such.
One of the persons in charge of a Regional Headquarters ranked in the top ten in terms of the increase in the portion of actually paid enterprise income tax retained by the local government in one financial year shall be given an award in the name of the municipal government.
Such awards shall be exempt from individual income tax in accordance with relevant state provisions.
Article 11: Persons serving as deputy general manager or in a higher or equivalent position in a Regional Headquarters for at least two consecutive years shall be eligible for an award in accordance with relevant provisions of Beijing Municipality for the administration of awards for the attraction of skilled personnel.
Article 12: Foreign nationals working for a Regional Headquarters shall be eligible for multiple entry-exit convenience. The legal representative, general manager, deputy general managers, chief financial officer and other such foreign senior management and technical personnel of a Regional Headquarters may apply for multiple entry F-type visas valid for no more than five years; departmental managers and other such middle management and technical personnel may apply for multiple entry F-type visas valid for no more than three years; and ordinary foreign employees may apply for multiple entry F-type visas valid for no more than one year. The foreign spouses and minor children of the foregoing foreign nationals may apply for F-type visas of the same term as the aforementioned persons.
Foreign nationals employed by a Regional Headquarters who have entered on an L- or X-type visa may, as required, apply for an F-type visa based on the aforementioned temporary entry handling conditions.
Foreign personnel of a Regional Headquarters who are required to come to China on an urgent basis for a short stay may, if they are unable to apply for a visa at a Chinese embassy or consulate abroad in a timely manner, apply for a visa at Beijing Capital airport.
Article 13: The legal representative, general manager, deputy general managers, chief financial officer and other such foreign senior management and technical personnel of a Regional Headquarters who need to reside in Beijing on a long-term basis may apply for a foreigner residence permit valid for five years; departmental managers and other such middle management and technical personnel may apply for foreigner residence permits valid for four years; and ordinary foreign employees may apply for foreigner residence permits valid for three years. The foreign spouses and minor children of the foregoing foreign nationals may apply for foreigner residence permits of the same term as the aforementioned persons. The terms of the aforementioned residence permits may not exceed the terms of the aforementioned persons' passports.
Senior management personnel of a Regional Headquarters may apply for a Foreigner Permanent Residence Permit on a priority basis in accordance with relevant provisions.
Article 14: Chinese personnel of a Regional Headquarters who are required to go to Hong Kong or Macao on business may apply for a Hong Kong and Macao Travel Permit and an endorsement for multiple business visits. Chinese personnel of a Regional Headquarters who are required to go to Taiwan on business may, if they provide an approval document from the Taiwan Affairs Office of the State Council and a Taiwan travel permit, apply on a priority basis for a Taiwan Travel Permit for Mainland Residents.
Article 15: If a Regional Headquarters employs a foreign national to work in Beijing, it may apply for the simultaneous handling of applications for permission to employ a foreigner and a Foreigner Work Permit.
Article 16: Regional Headquarters and their research and development institutions may, for senior management personnel whom they employ and for personnel under 45 years of age who have at least a Master's degree, or who have at least an undergraduate education and a senior technical title, whom they introduce from outside of, and whom are urgently needed and in short supply in, Beijing, apply for the introduction of skilled personnel from outside Beijing. Regional Headquarters and their research and development institutions employing personnel who have at least a Bachelor's degree or at least a mid-level technical title may apply for a Beijing Work Residence Permit.
Article 17: If the child of a member of the senior management personnel of a Regional Headquarters is to enter a nursery or study at a secondary or primary school, the government of the district or county where the Regional Headquarters is located shall be responsible for making the arrangements and facilitating matters.
Article 18: The foreign nationals working for a Regional Headquarters may purchase commodity premises to live in and use themselves that comply with their actual requirements without being subject to restriction on the length of time working in China.
Article 19: The municipal commerce commission shall be responsible for the recognition of Regional Headquarters in Beijing, the realisation of subsidies and awards, and the work associated with the co-ordination and implementation of the facilitation policies, and shall take the lead in the implementation of a one-stop shop for services to foreign entities, the simplification of procedures and the enhancement of work efficiency and service quality.
The specific measures for subsidies and awards shall be formulated separately by the municipal commerce department together with other departments such as the municipal development and reform department, finance department, tax departments and statistics department. Relevant subsidies and awards shall be realised once per year and disbursed after review by the aforementioned departments and approval by the municipal government.
Article 20: These Provisions shall be effective as of January 1 2009. The municipal commerce commission shall be responsible for co-ordinating the resolution of specific issues encountered in the course of implementation. The previously issued Beijing Municipal People's Government, Circular on the Issuance of the Several Provisions for Encouraging the Establishment of Regional Headquarters in Beijing by Multinational Corporations (Jing Zheng Fa [1999] No.4) shall be repealed simultaneously.
