Partnership enterprises required to specify "general partnership", "special general partnership" or "limited partnership" in their names.

Main Contents: According to the revised Measures, the description "general partnership", "special general partnership" or "limited partnership" shall be specified after the organization form in the name of partnership enterprises (Article 7). Where the partnership agreement has not stipulated the managing partner or all partners have not yet made a decision on the appointment of managing partner, all partners shall be managing partners. However, a limited partner may not be a managing partner (Article 9). Where the business scope of a partnership enterprise includes projects that require pre-registration approval pursuant to laws, administrative regulations or State Council provisions, approval documents shall be submitted to the enterprise registry (Article 12).

The revised Measures have also streamlined the registration procedure. Where the application materials for registration submitted by an applicant are complete and are in compliance with the statutory format, and the enterprise registry is able to grant registration on the spot, registration shall be handled on the spot, and the business licence for partnership enterprise shall be issued. Except for the aforementioned circumstances, the enterprise registry shall make a decision on whether to grant registration within 20 days of acceptance of an application (Article 16).
