Applicability: "Securities" is defined to include stocks, convertible corporate bonds and other derivatives (Article 2).
PRC law applies to the implementation and interpretation of the Agreement (Article 13).
Main contents: The Agreement covers the rights and obligations of the Shenzhen Stock Exchange (Party A) and the listed company (Party B), as well as the principles for settlement of disputes between the two sides. It empowers Party A to examine and approve the listing application documents submitted by Party B, exercise day-to-day oversight of Party B, and requires Party B to abide by all listing rules of Party A that are revised from time to time and pay due listing fees. Listing fees payable by Party B include, in case of stock listing, an initial listing fee of Rmb30,000 and a monthly fee based on the total share capital of Party B; and in case of convertible bond listing, an initial listing fee equivalent to 0.01% of the total amount of convertible bonds but not more than Rmb30,000 and a monthly fee based on the total amount of convertible bonds. The charging standards for listing of other derivative products will be implemented by Party A after approval by the competent authority. Subject to the approval of the competent authority, Party A is also empowered to adjust the above charging standards (Article 9). Party B is also required to find a qualified securities company to handle share transfer affairs after termination of listing on the Small and Medium-sized Enterprise Board (Article 5).
