Applicability: The Guidelines do not apply to takeovers and changes of shareholdings of listed companies that were completed or that have occurred but whose registration of the change in share ownership has not been completed before December 1 2002.

Main contents: Any natural person, legal person or other organization that has information disclosure obligations under the PRC Securities Law and the Administration of Disclosure of Information on the Change of Shareholdings in Listed Companies Procedures is required to prepare and disclose a Change of Shareholdings in Listed Company Report in accordance with the Guidelines (Article 2). The report shall disclose the details of the information disclosure obligor(s), change of its (their) shareholdings in the relevant listed company, trading of the listed shares in the listed company during the last six months, documents for inspection and other major matters (Part Two). The directors or principal responsible persons of the information disclosure obligor shall be jointly and several liable for the truthfulness, accuracy and completeness of the contents of the report (Article 11).
