Main contents: The Guidelines list the conditions that a company proposing to offer shares will not violate the Company Law even if there had been negative "undistributed profits" on its balance sheet when the company has been making profits for the past three years. Such conditions include positive "net profit" on the issuer's profit statement for the past three years and positive "undistributed profits" in the most recent audited balance sheet of the issuer.
