Main contents: The Reply clarifies that whether a resolution of a shareholders' meeting of a company limited by shares is effective depends firstly on whether the meeting was held according to the law and secondly whether the resolution complies with Articles 106 and 107 of the Company Law. The Reply also states that the percentage of shares held by the shareholders attending the meeting does not affect the lawful holding of the shareholders' meeting or the lawful adoption of the resolutions thereby.
