Main contents: This draft contains three parts. Part One sets out the basic requirements for legal opinions and lawyer's work reports on a convertible corporate bond issue. Paragraphs Two and Three state that the lawyer engaged by an issuer for a convertible corporate bond issue shall prepare a legal opinion and a lawyer's work report according to the respective formats provided therein. The legal opinion and the lawyer's work report are legal documents necessary when an issuer applies for permission to make a public offering of convertible corporate bonds (Paragraph Four). The lawyer preparing the opinion and the report is bound by the duty of due diligence with regard to the truthfulness, accuracy and completeness of his opinion and the report (Paragraph 11). Part Two contains the standard contents and format of a legal opinion for a convertible corporate bond issue. Part Three contains the standard contents and format of a lawyer's work report for a convertible corporate bond issue.
